Optimas Solutions (Optimas) has entered into an agreement for Exponent to acquire Optimas International, marking an important milestone in the company’s multi-year transformation into high performing, globally connected, regionally focused supply chain businesses.

Following the completion of the transaction, Optimas Solutions will remain under the ownership of American Industrial Partners (AIP) and will continue to operate with AIP’s full support.

The transaction is expected to close during the second quarter of 2026, subject to the finalization of appropriate employee representative processes and customary regulatory approvals. Once completed both companies will move forward as independent businesses—built on strong foundations and continued commitments to customers, supplier and operational excellence.

What This Means for Customers

This move strengthens our abilities as standalone businesses, Optimas and Optimas International, to serve customers with faster decisions, greater resilience and deeper regional expertise.

Both Optimas and Optimas International will continue to be led by the same leadership and day-to-day teams.

  • Optimas Solutions will operate in North and South America
  • Optimas International will operate in EMEA and Asia-Pacific
  • Headquarters remain unchanged in Wood Dale, Illinois, USA and Gloucester, UK

This regional structure reflects how supply chains operate today—agile and resilient.

Service Continuity and Reliability

Customers can expect no service disruption resulting from this transaction.

  • KPIs, delivery expectations and customer commitments remain the same
  • Our distribution network, manufacturing capabilities and value-added services remain fully intact
  • Where customers operate globally, Optimas and Optimas International will continue to collaborate closely to ensure a seamless experience
  • Special circumstances are in place to allow the businesses to operate jointly on new opportunities in the future

Operational Benefits of Independent Regional Structure

Operating as independent regional businesses enables:

  • Better inventory positioning
  • Faster problem-solving
  • More effective demand planning

For customers, this translates into a more robust and resilient supply chain that is tuned to today’s regional business environment. Our dual-sourcing capabilities remain a unique regional value proposition to support programmatic availability and immediate inventory challenges.

Continued Investment in Growth and Innovation

This next phase enables both companies to invest more directly in:

  • Innovation and digital automation
  • Operational improvements that elevate production
  • Supply chain resilience and infrastructure

These strengthen the competitive position of both businesses to grow alongside customers organically—and through targeted investments that align with regional needs.

What This Means for Supply Partners

Becoming stand-alone companies strengthens supplier partnerships by creating clearer alignment, faster decision-making and more-focused regional collaboration. Suppliers will continue to work with the same teams, processes and performance expectations from both organizations.

Operating as independent regional businesses also enables each company to invest more deliberately in supplier partnerships, improve forecasting and joint planning and align more closely with local market conditions. Additionally, with revitalized relationships and improved financial performance, both companies are poised for greater value creation and long-term partnership opportunities with suppliers.

A Natural Culmination of a Multi-Year Transformation

Since 2020, Optimas has evolved from a centralized global structure into two autonomous yet connected regional businesses—International and Americas. Through transformation, both regions have emerged financially stronger and operationally more advanced, with innovation regularly embedded as standard operating procedures. This creates greater stability and predictability. Decoupling Optimas and Optimas International represents the natural culmination of this journey and sets the stage for new investment and success with customers and suppliers.
