Products
Below please find the applicable current terms and conditions of sales for the region which the products are supplied by Optimas:

North America

 1. With respect to any products and/or services (collectively, “Products”) purchased by Buyer from Seller, the terms and conditions thereof shall consist of these terms together with any additions or revisions of such terms mutually agreed to in a writing signed by Seller and Buyer (“the Parties”). Seller objects to and shall not be bound by any additional or different terms, whether printed or otherwise, in any purchase order or other communication from Buyer to Seller, unless specifically agreed to in a writing signed by the Parties and only with respect to those Products intended to be covered by that executed document. This Agreement constitutes the entire, integrated agreement between the Parties related to the subject matter of this Agreement and any subsequent purchases made by the Buyer from the Seller, and any and all discussions, understandings, agreements, representations, courses of dealings, customs, and usages of trade heretofore made or engaged in by the Parties with respect to the subject matter hereof are merged into this Agreement which alone fully and completely expresses the Parties’ agreement. No amendments, modifications, waivers, or termination of this Agreement can be made through the Parties’ course of dealings and no such change can be made except in a single writing signed by the Parties hereto. Failure by Seller to exercise any right or remedy under the Agreement will not be deemed a waiver of such right or remedy unless in a writing signed by Seller, nor shall any waiver be implied from the acceptance of any payment. No waiver by Seller of any right shall extend to or affect any other right, nor shall a waiver by Seller of any breach extend to any subsequent similar or dissimilar breach. The Agreement shall be for the benefit of the Parties and not for the benefit of any other person. Buyer may not assign this Agreement without the express written approval of Seller. Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be limited or eliminated to the minimum extent required by that jurisdiction, and the remaining provisions of the Agreement will remain in full force and effect. 

2. This Agreement may not be modified or rescinded except by a writing signed by the Parties. If all or part of the contract is terminated by such modification or rescission, Buyer, in the absence of a contrary written agreement between Seller and Buyer, shall pay termination charges equal to Seller’s costs associated with the contract, as determined by generally accepted accounting principles, plus a reasonable profit on the entire contract. Cost shall include any amount Seller must pay to its suppliers due to any termination by Seller of a purchase order or contract for Products intended for Buyer. Prices may be changed by Seller to the extent Buyer seeks earlier deliveries or excess quantity. Pricing reflects an agreement with Seller as to MOQ’s. Pricing is also subject to change to the extent Buyer requests delivery over more than a six-month period. 

3. Payment of the purchase price for Products sold by Seller to Buyer shall be in the amounts set forth on each invoice, and Buyer agrees to pay all charges in accordance with the amounts established in said invoices. The entire outstanding balance due to Seller on all invoices shall become due in full immediately upon default in the payment of any invoice. Buyer will pay a service charge of $50.00 or the maximum allowed by law for each check returned by Buyer’s bank. 

4. Buyer shall pay the purchase price for Products within thirty (30) days from the date of invoice. In the event Buyer fails to pay the total purchase price within the thirty (30) day period, the maximum allowable charge and/or interest allowed by applicable laws shall be applied to all past due accounts commencing from the due date of the invoice until paid. Seller shall also be entitled, in addition to all other remedies available at law or in equity, to recover reasonable attorneys’ fees and/or other expenses in collecting the purchase price or otherwise enforcing or successfully defending itself in respect of this Agreement. Cash discounts do not apply to cases, reels, spools or transportation charges. The purchase price for the Products is ExWorks, unless otherwise agreed to in writing. Seller reserves the right to modify or withdraw credit terms at any time without notice and to require guarantees, security or payment in advance in the amount of sale. Seller may set off any amount due from Buyer to Seller, whether or not under this Agreement, from any amounts due to Buyer. Title to and risk of loss of the Products pass to Buyer upon delivery to the carrier at Seller’s facility. Unless otherwise agreed to in writing, title to any software associated with a Product shall not pass to Buyer and, strictly to the extent permissible under any license agreement related to such software, Buyer shall be granted a limited license to use the software in connection with the Product, strictly in accordance with the license agreement, and Buyer agrees to be bound by any license terms pertaining to software associated with a Product sold hereunder. Buyer agrees to defend and indemnify Seller, including paying for Seller’s attorneys’ fees for counsel of Seller’s choosing, from any claims or lawsuits in which it is alleged that such license agreement was breached or violated by reason of the actions of Buyer. 

5. In the event Buyer orders any inventory from Seller which Seller produces or procures for Buyer and such inventory is not readily saleable to other customers of Seller, Buyer agrees to be responsible and pay for all such custom or specially procured inventory, notwithstanding any defenses Buyer may have as to its failure to pay for other inventory and notwithstanding Buyer’s failure to use or sell such inventory. 

6. Any tax or other governmental charge upon the provision of services, or the production, sale, shipment, transfer, consumption, or use of the Products which Seller is required to pay or collect from Buyer shall be paid by Buyer to Seller at the time of payment for the Product, unless Buyer furnishes Seller with exemption certificates acceptable to taxing authorities. Such amount shall be due whether or not included on the invoice. 

7. Shipping date or other applicable performance date is estimated on the basis of immediate receipt by Seller of Buyer’s order and all information, drawings and approvals to be furnished by Buyer, and the absence of delays, direct or indirect, resulting from or contributed to by circumstances beyond Seller’s reasonable control. Seller will in good faith endeavor to ship Products or perform services by the estimated date. Seller shall have the right to make partial shipments. All changes in specifications or the shipping or performance date requested by Buyer will only be effective if set forth in a writing signed by the Parties, and where such changes affect Seller’s time or cost of performance, an equitable adjustment in estimated shipping/performance date or purchase price, or both, will be made. If no packaging, loading or bracing requirements are stated, Seller will comply with minimum specifications for the method of transportation specified. If no method of transportation is specified, shipment will be by a reasonable method of transportation determined by Seller in its sole discretion. 

8. Buyer shall promptly submit all claims for shortages in writing to Seller once Buyer receives the Products; otherwise such claims shall be waived. Quantities are subject to normal manufacturer allowances. In the case of wire and cable, such allowances are plus 10% and minus 5%. The purchase price for Products will equal the unit price multiplied by the quantity shipped. Buyer will inspect the Products upon delivery and will promptly notify Seller in writing of any defect in the Products so that Seller may place the Product manufacturers on notice of the same, otherwise such Products will be considered accepted. 

9. Seller hereby transfers and assigns any and all transferable warranties made to Seller by the manufacturer of the Products and any intellectual property indemnity from the manufacturer of such Products to Buyer, and Seller makes no warranty beyond that provided through such transfer and assignment. Buyer’s sole and exclusive remedy for any alleged defect, failure, inadequacy, or breach of any warranty related to Products shall be limited to those warranties and remedies provided by the manufacturers of those Products all of which are hereby assigned by the Seller to Buyer. 

10. DISCLAIMER OF WARRANTIES: THE FOREGOING WARRANTIES ARE EXCLUSIVE AND IN LIEU OF, AND SELLER DISCLAIMS AND BUYER WAIVES, ALL OTHER WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND OF ANY OTHER TYPE, WHETHER EXPRESS OR IMPLIED, ARISING BY LAW (STATUTORY OR OTHERWISE) AND WHETHER OR NOT OCCASIONED BY SELLER’S NEGLIGENCE. 

11. LIMITATION ON BUYER’S RECOVERY: IN NO EVENT, EITHER FOR PRODUCTS MANUFACTURED BY SELLER OR THOSE THAT ARE NOT, SHALL BUYER BE ENTITLED TO RECOVER MORE THAN THE PRICE OF THE PRODUCTS PROVIDED HEREUNDER FROM SELLER FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, OR THE MANUFACTURE, SALE, DELIVERY OR USE OF THE PRODUCTS DELIVERED PURSUANT TO THIS AGREEMENT BASED ON ANY THEORY OR CAUSE OF ACTION, INCLUDING, BUT NOT LIMITED TO, BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, OR FOR PUNITIVE DAMAGES. 

12. LIMITATION OF BUYER’S DAMAGES: IN NO EVENT, EITHER FOR PRODUCTS MANUFACTURED BY SELLER OR THOSE THAT ARE NOT, SHALL BUYER BE ENTITLED TO RECOVER ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES FROM SELLER, FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, OR THE MANUFACTURE, SALE, DELIVERY OR USE OF THE PRODUCTS DELIVERED PURSUANT TO THIS AGREEMENT BASED ON ANY THEORY OR CAUSE OF ACTION, INCLUDING, BUT NOT LIMITED TO, BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, OR FOR PUNITIVE DAMAGES. 

13. Seller shall not be liable for any failure to perform its obligations under the Agreement resulting directly or indirectly from, or contributed to or by acts of God, acts of Buyer, acts of terrorism, civil or military authority, fires, strikes or other labor disputes, accidents, floods, war, riot, inability to secure material or transportation facilities, acts or omissions of carriers, or any other circumstances beyond Seller’s reasonable control. Seller shall have no liability under this Agreement other than as expressly provided in this Agreement. 

14. If Buyer furnishes specifications to Seller for use in the manufacture of the Products, Buyer will indemnify and hold Seller harmless against any claim of intellectual property infringement which arises out of Seller’s compliance with the specifications. 

15. Buyer understands that Products supplied by Seller may be subject to the jurisdiction of U.S. export controls and trade sanctions, and Buyer represents and warrants that it will not violate U.S. export–related laws with respect to Products supplied by Seller, and Buyer will indemnify and hold Seller harmless for any damages arising from such violations by Buyer. 

16. Buyer will not disclose or make available to any third-party Seller’s data or other confidential, non–public or proprietary information regarding Seller without Seller’s prior written authorization. 

17. This Agreement shall be governed, interpreted and construed according to the substantive laws of the State of Illinois, U.S.A. without regard to principles of conflicts of law thereof and shall not be governed by the Convention on the International Sale of Goods. If any dispute or controversy shall arise with respect to this Agreement, such dispute or controversy will be settled in the state or federal courts located in Chicago, Illinois, in which case the Parties hereby consent to the exclusive jurisdiction and venue of such courts, and agree that they shall not contest or challenge the jurisdiction or venue of such courts. Any action for breach of the Agreement or any covenant or warranty must be commenced within one (1) year after the cause of action accrues.

1. Estos Términos y Condiciones de Ventas (“Contrato”), junto con cualquier adición o modificación al mismo que acuerden las Partes, determinan los términos y condiciones bajo los cualesÓptimas OE Solutions Ltda, S. de R.L. de C.V. (“Vendedor”) le vende al Comprador (“Comprador”, y conjuntamente con el Vendedor, las “Partes”) los productos y/o servicios indicados en la cotización (“Producto” o “Productos”). No deberá inferirse cualquier modificación, renuncia o terminación de este Contrato de las negociaciones de cualquiera de las Parte, salvo que dicha modificación, renuncia o terminación sea realizada por escrito firmado por las Partes del presente. El Contrato podrá ser modificadoo rescindido únicamente por acuerdo escrito y firmado por los representantes debidamente autorizados de ambas Partes. El Vendedor rechaza y no estará obligado por términos adicionales o diferentes a los términos de este Contrato, ya sean escritos o de cualquier otra forma, contenidos en cualquier orden de compra u otro documento o comunicación del Comprador al Vendedor, salvo por acuerdo escrito firmado por los representantes debidamente autorizados de ambas Partes, y sólo con respecto a los Productos destinados a ser cubiertos por dicho acuerdo. Los términos definidos en este Contrato podrán utilizarse indistintamente en singular o plural.

2.Este Contrato no podrá ser modificado o terminado salvo por escrito firmado por ambas Partes. Si el Contrato es terminado totalmente o en parte, el Comprador, en ausencia de cualquier otro acuerdo por escrito en contrario entre el Comprador y el Vendedor, deberá pagar cargos por terminación equivalente a los costos del Vendedor asociados con el Contrato, según sean determinados por los principios de contabilidad generalmente aceptados, más un ingreso razonable por virtud del Contrato. El costo del Vendedor deberá incluir cualquier cantidad que el Vendedor deba pagar a sus proveedores por virtud de la terminación por el Vendedor de cualquier orden de compra o contrato de Productos destinados al Comprador. Salvo que existe algún otro acuerdo por escrito entre las Partes, el precio y cantidad cotizado por el Vendedor estará en vigor por treinta (30) días naturales contados a partir de dicha cotización. Los precios en las órdenes de compra presentadas con posterioridad a ese período podrán diferir a los cotizados y se encuentran sujetos a ajustes por el Vendedor. El Comprador acepta pagar el precio de compra de los Productos y todos los cargos que se señalan en las facturas del Vendedor dentro de los 30 (treinta) días naturales siguientes a la fecha de emisión de la factura correspondiente. En el caso que el Comprador no cumpla con pagar cualquier cantidad establecida en cualquier factura, vencerán anticipadamente todas aquellas cantidades que el Comprador adeude al Vendedor, además se aplicará a dicho saldo deudor las tasas máximas de interés moratorios permitidos por las leyes mercantiles aplicables comenzando a partir de la fecha en que el Vendedor considere como vencido dicho saldo, hasta el día en que se realice el pago efectivo de las mismas. El Comprador pagará al Vendedor la cantidad máxima permitida por la ley, por cada cheque que sea rechazado por el banco del Comprador. Además de ejercer todos los recursos legales a que tenga derecho, el Vendedor también tendrá derecho a recuperar los honorarios razonables de abogados y cualesquier otros gastos en los que haya incurrido con el fin cobrar las cantidades adeudadas por el Comprador, así como reclamarcualquier otra obligación a la que tenga derecho bajo este Contrato o para defenderse en relación a este Contrato. El Vendedor se reserva el derecho de modificar o cancelar el crédito otorgado en cualquier momento y sin previo aviso al Comprador y podrá exigir, previo a la aceptación de cualquier orden de compra, garantías o el pago adelantado por los Productos. El Vendedor podrá deducir cualquier monto adeudado por el Comprador de cualquier importe que el Vendedor pudiese adeudar al Comprador, ya sea o no en virtud de este Contrato. Los precios acordados entre el Comprador y el Vendedor serán adicionados con el Impuesto al Valor Agregado (I.V.A.) y cualquier otro tipo de impuesto aplicable. Cualquier impuesto o gravamen aplicable a la prestación de servicios o la producción, venta, transporte, transferencia, consumo o uso de los Productos que el Vendedor esté obligado a cobrar al Comprador o a pagar, serán pagados por el Comprador al Vendedor en el momento del pago por los Productos, a menos que el Comprador suministre al Vendedor los certificados de exención que sean aceptables para las autoridades fiscales. Dichos montos deberán ser abonados estén o no incluidos en la factura correspondiente.

3.El precio de los Productos en la cotización del Vendedor está sujetoa cambios por eventos o situaciones imprevisibles, comocambioen los costos de importación del Producto cotizado, (tales como, fletes, seguro, aranceles) o bien en la lista de precios del fabricante, siempre que el Comprador no haya enviado su orden de compra al Vendedor. En caso que en cualquier tiempo, durante la vigencia del Contrato inclusive con posterioridad a que el Vendedor hubiere aceptado la orden del compra del Comprador, sucedan dichos eventos o situaciones imprevisibles que incrementen al Vendedor el precio de adquisición del Producto en un porcentaje de 10% (diez por ciento) sobre el costo original que se utilizó para realizar la cotización original de los Productos, las Partes negociarán, de buena fe, por un plazo de 30 (treinta) días naturales los incrementos razonables al precio del Producto aceptado por el Comprador, para absorber y distribuir el impacto del incremento que afecta al Vendedor.En caso de no llegar a un acuerdo, cualquiera de las Partes podrá rescindir el Contrato sin responsabilidad alguna para las Partes, más allá del cumplimiento de sus obligaciones pendientes de cumplir. En caso que a la fecha de rescisión del Contrato,existan obligaciones del Vendedor pendientes de ejecución, el Vendedor cumplirá con dichas obligaciones al precio ofrecido al Comprador antes de la ocurrencia del evento o situación imprevisible que dio origen a la terminación del Contrato, y el Comprador pagará el precio de venta que corresponda.El preciode venta de los Productos es en fábrica (Ex Works), en las instalaciones del Vendedor, a menos que se indique lo contrario en la cotización. El derecho de propiedad y el riesgo de pérdida de los Productospasará al Comprador con la entrega al Comprador Ex Works, en las instalaciones del Vendedor. El Comprador debe, a su propio cargo, indemnizar y defender al Vendedor de todas las reclamaciones, responsabilidades, denuncias, demandas,acciones legales, investigaciones, juicios, resoluciones, investigaciones, requerimientos u otros procesos, ya sean formales o informales, llevados a cabo en contra del Vendedor, con respecto de cualesquiera daños, perjuicios, responsabilidades, pérdidas, costos, cargos, honorarios y gastos incluyendo, sin limitar, honorarios y gastos de abogados, que resulten del pago del precio, o por la falta de pago, por el Comprador.

4.La orden de compra del Comprador debe ser presentada al Vendedor en forma escrita en el Domicilio del Vendedor (según se define más adelante) o a cualquier otro domicilio que el Vendedor le indique por escrito al Comprador, y deberá estar debidamentefirmadapor un 2 de 3 OptimasOESolutions,Ltda(Cust)Ts&CsSaleRev.March29,2017 apoderado autorizado para tales efectos por el Comprador. La orden de compra se entenderá aceptada por el Vendedor, siempre y cuando el Vendedor no le envíe al Comprador una notificación escrita indicando lo contrario, dentro de los 5 (cinco) días hábiles siguientes a la fecha de recepción de la orden de compra por parte del Vendedor, debidamente firmada por un apoderado autorizado por éste último. Las especificaciones y documentación técnicaformarán parte integrante de la orden de compra del Comprador.

5.El Comprador se obliga asumir la responsabilidad y a pagar todo el inventario de Productos que ordene, por cualquier medio, al Vendedor, sin importar cualquier defensa que pudiera tener respecto al incumplimiento en el pago por otros Productos ordenados al Vendedor y sin importar su incapacidad para usar o vender dicho inventario de Productos.

6.El Vendedor no aceptará devoluciones totales o parciales por parte del Comprador o la compensación de cuentas por pagar a cargo del Comprador de Productos, salvo que exista una autorización (“Devoluciones Autorizadas”) por escrito, a través de unaAutorización de Material Devuelto (“AMD”), inclusive si las devoluciones son de Productos No Conformes (según se define más adelante) de acuerdo a lo establecido en el punto 9 del presente Contrato.En el caso de las Devoluciones Autorizadas elVendedor expedirá las AMD’s correspondientes dentro de los 30 (treinta) días naturales siguientes a la entrega de los Productos por el Comprador, en el lugar que le indique el Vendedor, o a falta de dicha instrucción en el Domicilio del Vendedor, si los Productos a ser devueltos (a) son comúnmente almacenados por el Comprador (“Producto de Almacenado Habitual”), (b) pueden venderse nuevamente, y (c) se encuentran en su empaque original, sin abrir o alterar y acompañados de la papelería proveída por el Vendedor al momento del embarque incluyendo, pero sin estar limitado a, los documentos de transporte (lista de empaque, conocimiento de embarque, entre otros), facturas y certificaciones. El Vendedor no emitiráAMD’s por Productos conseguidos especialmente para el Comprador (“Producto de Almacenamiento Especial”). Todas las devoluciones por el Vendedor incluyendo las Devoluciones Autorizadas por el Vendedor, estarán sujetas a los costos dere-almacenamiento y recertificación incurridas por el Vendedor a cargo del Comprador. El Vendedor no aceptará devolución alguna en cantidades de Producto que sean menores o diferentes a la unidad de medida estándar o al número mínimo de piezas utilizado por el Vendedor al realizar la venta, salvo por aquellas devoluciones que estén autorizadas expresamente en el presente Contrato. El Comprador deberá pagar los gastos de envío y manejo de todas las devolucionesque realice al Vendedor conforme a la presente sección.

7.La fecha de embarque o cualquier otra fecha de cumplimiento del Vendedor será estimada con base en la recepción inmediata del Vendedor de la orden de compra por parte del Comprador, sus dibujos y aprobaciones que deban ser entregadas por el Comprador con la orden de compra, y a la ausencia de retrasos, directos o indirectos que resulten de circunstancias fuera del control razonable delVendedor.El Vendedor, de buena fe, hará lo razonablemente posible para enviar los Productos en las fechas estimadas. El Vendedor tiene el derecho de realizar envíos parciales. Todos los cambios en las especificaciones, la fecha de envío o de cumplimiento solicitado por el Comprador, tendrán efecto únicamente mediante acuerdo escrito firmado por los representantes debidamente autorizados de ambas Partes, y cuando los cambios afecten el tiempo de entrega o el costo de cumplimiento del Vendedor, se realizará el ajuste que corresponda en la fecha de envío o en el precio de compra, o a ambos. Si no se acuerdan por escrito requisitos especiales de empaque, carga o de refrigeración, el Vendedor cumplirá con las especificaciones mínimas para el método de transporte especificado. Si no se especifica método de transporte alguno, el envío se realizará por un método razonable de transporte determinado por el Vendedor a su soladiscreción.

8.El Comprador deberá presentar al Vendedor a la brevedad posible, pero a más tardar dentro de 5 (cinco) días naturales, y por escrito, todas las reclamaciones por piezas faltantes en cuanto reciba los Productos, de lo contrario se entenderá que renuncia a dicha reclamación. Las cantidades de Productos solicitados en la orden de compra del Comprador, deberán ajustarse a la unidad de medida estándar o al número mínimo de piezas de Productos aceptado por el fabricante para suministrar Productos al Vendedor. El precio de la mercancía será igual al precio unitario multiplicado por la cantidad enviada. El Comprador deberá inspeccionar los Productos al recibirlos y notificará a la brevedad posible, pero a más tardar dentro de 5 (cinco) días naturales, al Vendedor, por escrito, sobre cualquier defecto visible en los Productos, para que el Vendedor pueda realizar la reclamaciónpertinente a los fabricantes; de lo contrario dichos Productos se considerarán aceptados.

9.El Vendedor canalizará todas las reclamaciones por las garantías que ofrece el fabricante de los Productos por el período de garantía especificado por el fabricante.El Vendedor no confiere garantía alguna adicional a la proporcionada por el fabricante, sin embargo, el Vendedor se compromete, hasta por un período de 1 (un) año contado a partir del envío del Producto, a que el Producto será conforme a las especificaciones o impresiones que proporciona el Comprador y que el Vendedor aceptepor escrito.En caso que cualquier Producto no cumpla con dichas especificaciones o impresiones (“Producto No Conforme”), el Comprador podrá reclamar al Vendedor dicha falta de conformidad, en cuyo caso el Vendedor, a su discreción y costo, podrá optar por reemplazar el Producto o reembolsar el precio pagado por el Comprador. En el entendido que lo anterior no será considerado en forma alguna, como una garantía en términos de la legislación aplicable en materia de protección al consumidor. Cualquier reclamación relacionada con las garantías de los Productos ofrecidas por el fabricante o por cualquier Producto No Conformedeberá presentarseen el Domicilio del Vendedor.

10. EXCLUSIÓN DE GARANTÍAS: LAS GARANTÍAS ANTES MENCIONADAS SON EXCLUSIVAS Y EN LUGAR DE, Y EL VENDEDOR RECHAZA Y EL COMPRADOR RENUNCIA A, TODAS LAS DEMÁS GARANTÍAS DE COMERCIABILIDAD, ADECUACIÓN PARA UN OBJETIVO PARTICULAR Y DE CUALQUIER OTRO TIPO, EXPRESA O IMPLÍCITA, SEGUN LA LEY Y SEA O NO OCASIONADOPOR NEGLIGENCIA DEL VENDEDOR. En caso que lajurisdicción o legislación aplicable no permitiese la exclusión de garantías explícitas o implícitas, la duración de tales garantías se limitará al período de garantía (o al período mínimo que señale la ley aplicable).

11. 12. LÍMITE A LOS DAÑOS AL COMPRADOR: BAJO NINGUNA CIRCUNSTANCIA, YA SEA PORPRODUCTOSFABRICADOS POR EL VENDEDOR O NO, EL VENDEDOR SERÁ RESPONSABLEFRENTE AL COMPRADOR POR DAÑOS Y PERJUICIOS INDIRECTOS, LUCRO CESANTE,PÉRDIDA DE SALARIOS DE LOS EMPLEADOS, INTERRUPCIONESEN LA PRODUCCIÓN, NI TAMPOCO POR LOS COSTOS DERIVADOS DE LA OBTENCIÓN DE PRODUCTOS SUBSTITUTOS, INDEPENDIENTEMENTE DEL FUNDAMENTO LEGAL DE LA RECLAMACIÓN DE TALES DAÑOS, YA SEA CONTRACTUAL,EXTRACONTRACTUALO DE CUALQUIER OTRO TIPO. La responsabilidad total del Vendedor ante el Comprador no superará en ningún caso el precio de los Productos que haya originado tal reclamación, aun cuando se haya comunicado al Vendedor sobre la posibilidad de que se produzcan tales daños y perjuicios. Encaso que la legislación o jurisdicción aplicable no permitiese limitar o excluirla responsabilidad, el límite de tal responsabilidad se circunscribirá al montomínimo queexija la leyaplicable.

13. El Vendedor no será responsable por cualquier incumplimiento de sus obligaciones en virtud de este Contrato que directa o indirectamente,resulten de, o que deriven de, eventos de caso fortuito o fuerza mayor, actos del Comprador, actos de terrorismo, de las autoridades civiles o militares, incendios, huelgas u otros conflictos laborales, accidentes, inundaciones, guerras, disturbios, incapacidad para conseguir materiales o el transporte, errores y/u omisiones del fabricante u otra condición que afecte al fabricante, los actos u omisiones de los transportistas, o cualquier otra circunstancia más allá del control razonable del Vendedor.El Vendedor no tendrá ninguna responsabilidad en virtudde este Contrato,con excepción delo dispuesto expresamente en el presente Contrato.

14. Si el Comprador proporciona especificaciones al Vendedor para su uso en la fabricación de los Productos, el Comprador deberá indemnizar y liberar de responsabilidad al Vendedor frente a cualquierreclamo por infraccionesen materia de propiedadintelectual que surjan del cumplimiento del Vendedordetales especificaciones.

15. El Comprador entiende que los Productos suministrados por el Vendedor pueden estar sujetos a la jurisdicción de los controles de exportación de los Estados Unidos de América y sanciones comerciales, y el Comprador declara y garantiza que no violará las leyes de exportación de los Estados Unidos con respecto a los Productos suministrados por el Vendedor. El Comprador deberá indemnizar y liberar al Vendedor de responsabilidad de cualquier responsabilidad pordaños derivados de tales violaciones por el Comprador.

16. El Comprador no revelará o pondrá a disposición de terceros los datos que el Vendedor le provee al Comprador bajo este Contrato, que no sean públicos o que sean propiedad del Vendedor, sinla autorización previay por escritodel Vendedor.

17. Para todo lo relacionado con la interpretación y cumplimiento del Contrato se estará a lo dispuesto por las leyes del Estados Unidos Mexicanos, con independencia de las reglas de conflicto de leyes que de otra manera resultaren aplicables y no se regirá por la Convención de las Naciones Unidas sobre los Contratos de Compraventa Internacional de Mercaderías. Las Partes acuerdan expresamente someter todo litigio, controversia o reclamación resultante de este Contrato o relativo a este Contrato, su incumplimiento, resolución o nulidad, a la resolución mediante arbitraje de conformidad con el Reglamento de Arbitraje de la Cámara Nacional de Comercio de la Ciudad de México. El lugar del arbitraje será la Ciudad de México, México. El idioma que se utilizará en el procedimiento arbitral será el español. El derecho aplicable a la controversia será la legislación mexicana. Cualquier acción por incumplimiento del Contrato o de cualquier convenio deberá ser iniciada dentrode1 (un)año contado a partir de la fecha en la cual la causal de incumplimiento ocurrió, o el periodo mínimo que exija la ley aplicable.

18. Cualquier cláusula de este Contrato que por su naturaleza deba permanecer vigente una vez terminado este Contrato, permanecerá vigente después dedicha terminación.

19. Toda notificación, solicitud, petición y aviso al (i) Vendedor será enviada a su domicilio especificado en la cotización (el “Domicilio del Vendedor”); o (ii) Comprador será enviada a su domicilio especificado en la orden de compra (el “Domicilio del Comprador”).

20. Este Contrato, la cotización de la orden de compra y todas las adiciones y modificaciones que acuerden las Partes, representa la totalidad del acuerdo entre las Partes por lo que hace al objeto de este Contrato y cualesquiera compras subsecuentes del Comprador al Vendedor, el cual incorpora y reemplaza cualesquiera y todas las discusiones, acuerdos, convenios, manifestaciones, negociaciones, costumbres y usos delcomercio. Ninguna omisión ni cualquier retraso del Vendedor para ejercer cualquier derecho, poder o privilegio, o recurso al que tenga derecho en virtud del Contrato será considerada como la renuncia a dicho derechoso recurso, salvo por acuerdo escrito firmado por el Vendedor, tampoco se inferirá renuncia alguna de la aceptación de cualquier pago. La falta de ejercicio de algún derecho o recurso por el Vendedor no implicará la renuncia subsecuente de los mismosderechos, poderes, privilegios o recursos; la omisión o retraso por el Vendedor para ejercer o exigir alguno de sus derechos en virtud de cualquier incumplimiento al Contrato, tampoco será considerada como la renuncia a dichos derechos, poderes, privilegios o recursos, ya sean similares o diferentes.Este Contrato es en beneficio exclusivode las Partes y no en beneficio de terceros. El Comprador no podrá ceder este Contrato, en todo o en parte, sin el consentimiento previo y por escrito del Vendedor. En caso de que cualquier disposición del Contrato resulte ilegal, inválida o inejecutable en cualquier jurisdicción, dicha disposición del Contrato será ilegal, inválida, inejecutable, limitada o eliminada en esa jurisdicción, hasta el grado mínimo requerido en dicha jurisdicción, y el resto de las disposiciones seránexigibles y válidas.

1. With respect to any products and/or services (collectively, “Products”) purchased by Buyer from Optimas OE Solutions ULC. (“Seller”), the terms and conditions thereof shall consist of these terms together with any additions or revisions of such terms mutually agreed to in a writing signed by Seller and Buyer (“the Parties”). Seller objects to and shall not be bound by any additional or different terms, whether printed or otherwise, in any purchase order or other communication from Buyer to Seller, unless specifically agreed to in a writing signed by the Parties and only with respect to those Products intended to be covered by that executed document. These terms and conditions of sale (the “Agreement”) constitute the entire, integrated agreement between the Parties related to the subject matter of this Agreement and any subsequent purchases made by the Buyer from the Seller, and any and all discussions, understandings, agreements, representations, courses of dealings, customs, and usages of trade heretofore made or engaged in by the Parties with respect to the subject matter hereof are merged into this Agreement which alone fully and completely expresses the Parties’ agreement. No amendments, modifications, waivers, or termination of this Agreement can be made through the Parties’ course of dealings and no such change can be made except in a writing signed by the Parties hereto. Failure by Seller to exercise any right or remedy under the Agreement will not be deemed a waiver of such right or remedy unless in a writing signed by Seller, nor shall any waiver be implied from the acceptance of any payment. No waiver by Seller of any right shall extend to or affect any other right, nor shall a waiver by Seller of any breach extend to any subsequent similar or dissimilar breach. The Agreement shall be for the benefit of the Parties and not for the benefit of any other person. Buyer may not assign this Agreement without the express written approval of Seller. Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be limited or eliminated to the minimum extent required by that jurisdiction, and the remaining provisions of the Agreement will remain in full force and effect.

Les achats des produits et/ou des services (collectivement, les “Produits”) qu’effectue l’Acheteur auprès d’ Optimas OE Solutions ULC (le « Vendeur »), sont soumis aux présentes modalités ainsi qu’aux ajouts ou aux modifications dont le Vendeur et l’Acheteur (les « Parties ») peuvent convenir par écrit. Le Vendeur s’oppose à toute modalité supplémentaire ou différente, imprimée ou autre, comprise dans un bon de commande ou dans une autre communication de l’Acheteur au Vendeur et n’est pas lié par celle-ci, sauf si les Parties en ont expressément convenu dans un document signé par elles et seulement pour les Produits visés par ce document. Les présentes modalités de vente (la « Convention ») constituent l’entente intégrale entre les Parties quant à son objet; les achats postérieurs que l’Acheteur effectue auprès du Vendeur, ainsi que l’ensemble des discussions, ententes, conventions,
déclarations, conduites habituelles, coutumes et usages du commerce antérieurement intervenus ou établis par les Parties relativement à l’objet des présentes a été intégré dans la présente Convention qui, seule, exprime pleinement et entièrement l’entente des Parties. La conduite des Parties ne peut en aucun cas modifier la présente Convention, mettre fin à celle-ci ou constituer une renonciation à celle-ci, et aucun changement de la sorte ne peut être apporté, sauf dans un document signé par les Parties. Si le Vendeur n’exerce pas un droit ou un recours aux termes de la présente Convention, il ne sera pas réputé y avoir renoncé, sauf si cette renonciation est constatée dans un document signé par le Vendeur. De plus, aucune renonciation ne découlera de l’acceptation d’un paiement. La renonciation du Vendeur à l’un de ses droits ne s’étendra pas à un autre droit et n’aura aucune incidence sur ce dernier, de même qu’une renonciation du Vendeur à une violation ne s’étendra pas à une violation postérieure, similaire ou non. La Convention est stipulée à l’avantage des Parties, à l’exclusion de toute autre personne. L’Acheteur ne peut céder la présente Convention sans l’approbation écrite expresse du Vendeur. Une disposition de la présente Convention qui est interdite ou inexécutoire dans une juridiction est, quant à cette juridiction, restreinte ou éliminée dans la mesure minimale requise dans cette juridiction, et les autres dispositions de la Convention demeureront pleinement en vigueur.

2. This Agreement may not be modified or rescinded except by a writing signed by the Parties. If all or part of the contract is terminated by such modification or rescission, Buyer, in the absence of a contrary written agreement between Seller and Buyer, shall pay termination charges equal to Seller’s costs associated with the contract, as determined by generally accepted accounting principles, plus a reasonable profit on the entire contract. Cost shall include any amount Seller must pay to its suppliers due to any termination by Seller of a purchase order or contract for Products intended for Buyer.

La présente Convention ne peut être modifiée ni annulée, sauf par un document signé par les Parties. Si une telle modification ou annulation met fin à la totalité ou à une partie du contrat, en l’absence d’une entente écrite contraire conclue par le Vendeur et l’Acheteur, l’Acheteur paie des frais de fin de contrat qui correspondent aux coûts du Vendeur associé au contrat, déterminés selon les principes comptables généralement reconnus, majorés d’un profit raisonnable sur le contrat en entier. Les frais comprennent tout montant que le Vendeur doit payer à ses fournisseurs en raison de l’annulation par le Vendeur d’un bon de commande ou de la fin d’un contrat pour des Produits destinés à l’Acheteur.

3. Payment of the purchase price for Products sold by Seller to Buyer shall be in the amounts set forth on each invoice, and Buyer agrees to pay all charges in accordance with the amounts established in said invoices. The entire outstanding balance due to Seller on all invoices shall become due in full immediately upon default in the payment of any invoice. Buyer will pay the lower of a service charge of $50.00 or the maximum allowed by law for each check returned by Buyer’s bank.

L’Acheteur doit verser au Vendeur le prix d’achat des Produits indiqué sur chaque facture, et l’acheteur convient de payer toutes les charges conformément au montant qui y est indiqué. Le solde impayé dû au Vendeur suivant toutes les factures devient immédiatement exigible en totalité au moment du défaut de paiement d’une facture. L’Acheteur paiera le moins élevé des frais de service de 50 $ ou du maximum permis par la loi pour chaque chèque retourné par la banque de l’Acheteur.

4. Buyer shall pay the purchase price for Products within thirty (30) days from the date of invoice. In the event Buyer fails to pay the total purchase price within the thirty (30) day period, the maximum allowable charge and/or interest allowed by applicable laws shall be applied to all past due accounts commencing from the due date of the invoice until paid; provided, however, such default interest rate shall not exceed eighteen percent (18%) per annum. Seller shall also be entitled, in addition to all other remedies available at law or in equity, to recover reasonable attorneys’ fees and/or other expenses in collecting the purchase price or otherwise enforcing or successfully defending itself in respect of this Agreement. Cash discounts do not apply to cases, reels, spools or transportation charges. The purchase price for the Products is F.O.B. first point of shipment, unless otherwise agreed to in writing. Seller reserves the right to modify or withdraw credit terms at any time without notice and to require guarantees, security or payment in advance in the amount of sale. Seller may set off any amount due from Buyer to Seller, whether or not under this Agreement, from any amounts due to Buyer. Title to and risk of loss of the Products pass to Buyer upon delivery to the carrier at the F.O.B. shipping point. Unless otherwise agreed to in writing, title to any software associated with a Product shall not pass to Buyer and, strictly to the extent permissible under any license agreement related to such software, Buyer shall be granted a limited license to use the software in connection with the Product, strictly in accordance with the license agreement, and Buyer agrees to be bound by any license terms pertaining to software associated with a Product sold hereunder. Buyer agrees to defend and indemnify Seller, including paying for Seller’s attorneys’ fees for counsel of Seller’s choosing, from any claims or lawsuits in which it is alleged that such license agreement was breached or violated by reason of the actions of Buyer.

Si l’Acheteur fait défaut de payer la totalité du prix d’achat pendant la période de trente (30) jours, le maximum des frais et/ou de l’intérêt permis par les lois applicables sera imputé à tous les comptes en souffrance à compter de la date d’exigibilité de la facture jusqu’au paiement; il est entendu toutefois que le taux d’intérêt en cas de défaut n’excédera pas dix- huit pourcent (18%) l’an. En plus des autres recours dont dispose le Vendeur en droit ou en equity, le Vendeur aura également le droit de recouvrer les honoraires juridiques raisonnables et/ou autres dépenses qu’il aura engagés pour percevoir le prix d’achat, faire par ailleurs valoir ses droits ou se défendre avec succès relativement à la présente Convention. Il n’y a pas d’escomptes au comptant pour les caisses, bobines, rouleaux et frais de transport. Le prix d’achat des Produits est un prix FAB au point d’expédition, sauf entente contraire écrite. Le Vendeur se réserve le droit de modifier ou de retirer les modalités de crédit en tout temps sans préavis, et d’exiger à l’avance le paiement du montant de la vente ou des garanties ou des sûretés pour ce montant. Le Vendeur peut compenser tout montant que l’Acheteur lui doit, aux termes de la présente Convention ou autrement, contre tout montant qu’il doit à l’Acheteur. Le titre des Produits et les risques de pertes sont transférés à l’Acheteur au moment de la livraison au transporteur au point d’expédition FAB. Sauf entente contraire écrite, le titre d’un logiciel associé à un Produit n’est pas transféré à l’Acheteur; seulement dans la mesure permise par une convention de licence portant sur ce logiciel, l’Acheteur se verra accorder une licence d’utilisation restreinte du logiciel lui permettant de l’utiliser en lien avec le Produit, en stricte conformité avec la convention de licence, et l’Acheteur convient d’être lié par les modalités de licence d’un logiciel associé à un Produit vendu aux termes des présentes. L’Acheteur convient de défendre et d’indemniser le Vendeur, ce qui comprend le paiement des honoraires juridiques de l’avocat choisi par le Vendeur, contre toutes réclamations ou poursuites dans lesquelles il est prétendu que l’Acheteur, par ses actions, a violé une telle convention de licence.

5. In the event Buyer orders any inventory from Seller which Seller produces or procures for Buyer and such inventory is not readily saleable to other customers of Seller, Buyer agrees to be responsible and pay for all such custom or specially procured inventory, notwithstanding any defenses Buyer may have as to its failure to pay for other inventory and notwithstanding Buyer’s failure to use or sell such inventory.

Si l’Acheteur commande des marchandises que le Vendeur fabrique ou lui fournit, mais que le Vendeur ne peut facilement vendre à d’autres clients, l’Acheteur convient d’être tenu de payer toutes ces marchandises adaptées ou spécialement fournies, malgré toute défense que l’Acheteur peut opposer relativement à son défaut de payer d’autres marchandises, et ce, même si l’Acheteur ne peut utiliser ou vendre ces marchandises adaptées ou spécialement fournies.

6. Any tax or other governmental charge upon the provision of services, or the production, sale, shipment, transfer, consumption, or use of the Products which Seller is required to pay or collect from Buyer shall be paid by Buyer to Seller at the time of payment for the Product, unless Buyer furnishes Seller with exemption certificates acceptable to taxing authorities. Such amount shall be due whether or not included on the invoice.

Au moment du paiement des Produits, l’Acheteur paie au Vendeur les taxes, impôts ou autres charges gouvernementales sur la fourniture de services ou la production, la vente, l’expédition, le transfert, la consommation ou l’utilisation des Produits, que le Vendeur est tenu de payer ou de percevoir de l’Acheteur, sauf si l’Acheteur remet au Vendeur des certificats d’exemption que les autorités fiscales acceptent. Ces montants sont exigibles qu’ils soient ou non indiqués sur la facture.

7. Shipping date or other applicable performance date is estimated on the basis of immediate receipt by Seller of Buyer’s order and all information, drawings and approvals to be furnished by Buyer, and the absence of delays, direct or indirect, resulting from or contributed to by circumstances beyond Seller’s reasonable control. Seller will in good faith endeavor to ship Products or perform services by the estimated date. Seller shall have the right to make partial shipments. All changes in specifications or the shipping or performance date requested by Buyer will only be effective if set forth in a writing signed by the Parties, and where such changes affect Seller’s time or cost of performance, an equitable adjustment in estimated shipping/performance date or purchase price, or both, will be made. If no packaging, loading or bracing requirements are stated, Seller will comply with minimum specifications for the method of transportation specified. If no method of transportation is specified, shipment will be by a reasonable method of transportation determined by Seller in its sole discretion.

La date d’expédition ou autre date d’exécution pertinente prévue est fixée en fonction de la réception immédiate par le Vendeur de la commande de l’Acheteur et de tous les renseignements, dessins et approbations que l’Acheteur doit fournir et suppose qu’il n’y aura aucun retard, direct ou indirect, découlant en totalité ou en partie de circonstances raisonnablement indépendantes de la volonté du Vendeur. Le Vendeur s’efforcera de bonne foi d’expédier les Produits ou de fournir les services à la date prévue. Le Vendeur aura le droit d’effectuer des expéditions partielles. Les modifications aux spécifications ou à la date d’expédition ou d’exécution requises par l’Acheteur prendront effet seulement si elles sont énoncées dans un document signé par les Parties. Lorsque ces modifications auront des incidences sur le délai ou les coûts d’exécution du Vendeur, un ajustement équitable sera apporté à la date d’expédition/d’exécution prévue ou au prix d’achat ou aux deux. Si aucune exigence n’est stipulée concernant l’emballage, le chargement ou le calage, le Vendeur se conformera aux spécifications minimales pour le mode de transport précisé. Si aucun mode de transport n’est précisé, l’expédition sera effectuée selon un mode de transport raisonnable déterminé par le Vendeur à son entière discrétion.

8. Buyer shall promptly submit all claims for shortages in writing to Seller once Buyer receives the Products; otherwise such claims shall be waived. Quantities are subject to normal manufacturer allowances. In the case of wire and cable, such allowances are plus 10% and minus 5%. The purchase price for Products will equal the unit price multiplied by the quantity shipped. Buyer will inspect the Products upon delivery and will promptly notify Seller in writing of any defect in the Products so that Seller may place the Product manufacturers on notice of the same, otherwise such Products will be considered accepted.

L’Acheteur soumet sans délai et par écrit au Vendeur les réclamations pour articles manquants une fois qu’il a reçu les Produits, sinon il renonce à de telles réclamations. Les quantités sont assujetties aux réserves normales du fabricant. Dans le cas des fils et des câbles, ces réserves sont de plus de 10% et de moins de 5%. Le prix d’achat des Produits correspondra au prix unitaire multiplié par la quantité expédiée. L’Acheteur examinera les Produits à la livraison et avisera sans délai le Vendeur par écrit de tout défaut des Produits, de sorte que le Vendeur puisse en aviser le fabricant; sinon les Produits seront réputés acceptés.

9. Seller hereby transfers and assigns any and all transferable warranties made to Seller by the manufacturer of the Products and any intellectual property indemnity from the manufacturer of such Products to Buyer, and Seller makes no warranty beyond that provided through such transfer and assignment. Buyer’s sole and exclusive remedy for any alleged defect, failure, inadequacy, or breach of any warranty related to Products shall be limited to those transferable warranties and remedies provided by the manufacturers of those Products all of which are hereby assigned by the Seller to Buyer.

Le Vendeur transfère et cède par les présentes à l’Acheteur toutes les garanties cessibles et tous les droits d’indemnisation en matière de propriété intellectuelle que le fabricant des Produits lui a accordés, et le Vendeur n’accorde à l’Acheteur aucune autre garantie. Les seuls recours dont l’Acheteur dispose s’il allègue un défaut, un manquement, une inadéquation ou une violation de garantie lié au Produit sont les garanties et recours cessibles accordés par les fabricants de ces Produits, que le Vendeur cède par les présentes à l’Acheteur.

10. DISCLAIMER OF WARRANTIES: THE FOREGOING WARRANTIES ARE EXCLUSIVE AND IN LIEU OF, AND SELLER DISCLAIMS AND
BUYER WAIVES, ALL OTHER WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND OF ANY OTHER TYPE,
WHETHER EXPRESS OR IMPLIED, ARISING BY LAW (STATUTORY OR OTHERWISE) AND WHETHER OR NOT OCCASIONED BY SELLER’S
NEGLIGENCE.

12. LIMITATION OF BUYER’S DAMAGES: IN NO EVENT, EITHER FOR PRODUCTS MANUFACTURED BY SELLER OR THOSE THAT ARE NOT, SHALL BUYER BE ENTITLED TO RECOVER ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES FROM SELLER, FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, OR THE MANUFACTURE, SALE, DELIVERY OR USE OF THE PRODUCTS DELIVERED PURSUANT TO THIS AGREEMENT BASED ON ANY THEORY OR CAUSE OF ACTION, INCLUDING, BUT NOT LIMITED TO, BREACH OF CONTRACT, BREACH OF WARRANTY, TORT, NEGLIGENCE, EXTRA-CONTRACTUAL LIABILITY, STRICT LIABILITY, OR FOR PUNITIVE DAMAGES.

13. Seller shall not be liable for any failure to perform their obligations under the Agreement resulting directly or indirectly from, or contributed to or by acts of God, acts of Buyer, acts of terrorism, civil or military authority, fires, strikes or other labor disputes, accidents, floods, war, riot, inability to secure material or transportation facilities, acts or omissions of carriers, or any other circumstances beyond Seller’s reasonable control. Seller shall have no liability under this Agreement other than as expressly provided in this Agreement.

Le Vendeur n’est pas responsable de tout défaut d’exécution de ses obligations aux termes de la présente Convention si ce défaut résulte en totalité ou en partie directement ou indirectement des catastrophes naturelles, actions de l’Acheteur, actes terroristes, autorités civiles ou militaires, incendies, grèves ou autre interruption de travail, accidents, inondations, guerres, émeutes, de l’incapacité d’obtenir du matériel ou des services de transport, des actes ou omissions des transporteurs ou d’autres circonstance raisonnablement indépendante de la volonté du Vendeur. La responsabilité du Vendeur aux termes de la présente Convention est limitée à ce qui y est expressément prévu.

14. If Buyer furnishes specifications to Seller for use in the manufacture of the Products, Buyer will indemnify and hold Seller harmless against any claim of intellectual property infringement which arises out of Seller’s compliance with the specifications.

Si l’Acheteur fournit au Vendeur des spécifications que le Vendeur doit utiliser dans la fabrication des Produits, l’Acheteur indemnisera le Vendeur contre toute réclamation en matière de contrefaçon de propriété intellectuelle qui découle du respect de ces spécifications par le Vendeur.

15. Buyer understands that Products supplied by Seller may be subject to the jurisdiction of Canadian and U.S. export controls and trade sanctions, and Buyer represents and warrants that it will not violate Canadian and U.S. export-related laws with respect to Products supplied by Seller, and Buyer will indemnify and hold Seller harmless for any damages arising from such violations by Buyer.

L’Acheteur comprend que les Produits fournis par le Vendeur peuvent être soumis au contrôle des exportations et aux sanctions commerciales du Canada et des États-Unis. L’Acheteur déclare et garantit qu’il ne violera pas les lois canadiennes et américaines relatives à l’exportation en ce qui concerne les Produits fournis par le Vendeur, et l’Acheteur indemnisera le Vendeur des dommages-intérêts découlant de telles violations par l’Acheteur.

16. Buyer will not disclose or make available to any third party Seller’s data or other confidential, non-public or proprietary information regarding Seller without Seller’s prior written authorization.

L’Acheteur ne communiquera pas et ne mettra pas à la disposition d’un tiers les données du Vendeur ou autres renseignements confidentiels, privés ou exclusifs concernant le Vendeur, sans l’autorisation préalable écrite du Vendeur.

17. This Agreement shall be governed, interpreted and construed according to the substantive laws of the province of Ontario without regard to principles of conflicts of law thereof and shall not be governed by the Convention on the International Sale of Goods. If any dispute or controversy shall arise with respect to this Agreement, such dispute or controversy will be settled in courts located in Toronto, Ontario, in which case the Parties hereby consent to the exclusive jurisdiction and venue of such courts, and agree that they shall not contest or challenge the jurisdiction or venue of such courts. If any provision of this Agreement (or portion thereof) or its application is held to be invalid, illegal or unenforceable in any respect, the validity, legality or enforceability of any of the other provisions (or portions thereof, as applicable) and applications thereof shall not in any way be affected or impaired.

La présente convention est régie par le droit substantif de l’Ontario et est interprétée conformément à celui-ci, sans tenir compte de ces principes de conflits de lois; elle n’est pas régie par la Convention des Nations Unies sur les contrats de vente internationale de marchandises. Un différend ou une controverse découlant de la présente Convention sera tranché par les tribunaux situés à Toronto en Ontario. Les parties consentent par les présentes à la compétence exclusive de ces tribunaux et conviennent de ne pas la contester. Si une disposition de la présente Convention (en totalité ou en partie) ou son application est déclarée invalide, illégale ou inexécutoire à quelque égard que ce soit, cela ne compromettra en rien la validité, la légalité ou le caractère exécutoire des autres dispositions (en totalité ou en partie, le cas échéant) et leur application, et cela n’aura aucune incidence sur eux.

1. DEFINITIONS
La « Société » : Optimas OE Solutions ou toute autre entité du groupe Optimas OE Solutions telle qu’identifiée en tête du présent document
L’ »Acheteur » : toute personne physique, morale ou autre entité à qui la Société fournit des produits et/ou Services
« Produits » : produit, matériaux et/ou autre pièce et tout Service fourni en application du Contrat
Le « Contrat » : le contrat pour la vente et l’achat de Produits et la fourniture de Services conclu entre la Société et l’Acheteur, auquel les présentes Conditions s’appliquent
« Attache » : tout produit vendu par les branches « Fasteners » et « OEM Solutions » de la Société

2. APPLICABILITÉ
Les présentes conditions de vente s’appliquent à la vente par la Société de Produits ou Services à l’exclusion de toutes autres dispositions auxquelles il serait fait référence dans le bon de commande de l’Acheteur ou toute autre correspondance ou autre document, sous réserve toutefois, des conditions particulières qui auraient pu être convenues par écrit entre la Société et l’Acheteur et faisant partie intégrante du Contrat. Toutes stipulations contraires sont donc exclues ou deviennent inapplicables.

3. DEVIS
Un devis fourni par la Société ne constitue pas une offre de contrat et la Société se réserve le droit d’annuler ou de modifier tout devis à tout moment avant l’acceptation par la Société de toute commande de l’Acheteur.

4. PRIX
4.1 Au cas ou avant la livraison des Produits ou l’exécution des Services, les prix des matières premières, l’indice des salaires applicable à l’activité de la Société, les charges sociales, subiraient une augmentation, ou si le taux de change retenu dans le tarif en vigueur variait sensiblement, la Société se réserve le droit d’augmenter proportionnellement le prix convenu. Cette augmentation sera immédiatement répercutée sur le prix facturé. Les tarifs de la Société sont susceptibles d’être modifiés à tout moment.
4.2 Les prix indiqués pour les Produits s’entendent Départ Usine, hors TVA et autres taxes applicables aux Produits et Services.

5. MODALITES DE PAIEMENT
5.1 Sous réserve des stipulations de l’article 5.5 ci-dessous, et sauf disposition écrite contraire, les factures des Produits et/ou Services sont payables intégralement, sans déduction ou compensation, dans les trente jours de la date de facturation.
5.2 Tout crédit consenti à l’Acheteur est susceptible d’être modifié ou annulé à tout moment.
5.3 Conformément à l’article L.441-6 du Code de Commerce, tout retard de paiement entraînera des pénalités de retard calculées sur la base du taux d’intérêt légal multiplié par 3. En outre, conformément à l’article D441-5 du Code de Commerce, la Société appliquera automatiquement une indemnité forfaitaire pour frais de recouvrement de 40 euros en cas de retard de paiement après la date de règlement convenue.
5.4 Toute détérioration du crédit de l’Acheteur pourra justifier l’exigence par la Société de garanties, d’un acompte plus important avant la livraison des Produits ou l’exécution des Services ou un paiement comptant avant livraison. Il en sera ainsi notamment, en cas de modification dans la situation juridique de l’Acheteur, dans son activité professionnelle, ou si une cession, location, mise en nantissement, l’octroi d’une garantie sur une partie de son fonds, un apport ou une autre opération a un effet défavorable sur le crédit de l’Acheteur. L’Acheteur informera la Société de tout événement susmentionné.
5.5 Dans l’hypothèse où l’Acheteur ne serait pas un résident français, le montant total dû par l’Acheteur (incluant les frais, taxes et charges) sera couvert par une lettre de change irrévocable agréée par la Sociétéet acceptée par une banque française, laquelle doit être agréée par la Société. La durée de cette lettre de change, qui devra être émise dès l’acceptation par OPTIMAS OE SOLUTIONS de la commande de l’Acheteur, sera fixée par la Société. La Société pourra obtenir le paiement intégral des sommes dues par l’Acheteur sur simple présentation de cette lettre de change à ladite banque française.

6. LIVRAISON
6.1 Les délais de livraison des Produits et/ou de réalisation des Services indiqués ou mentionnés sur les devis ou sur l’acceptation d’une commande sont donnés à titre purement indicatifs et ne sauraient être considérés comme étant de rigueur ou constituer une condition déterminante. Compte tenu du caractère indicatif des délais de livraison des Produits et/ou de réalisation des Services, la Société n’encourt aucune responsabilité à raison notamment de manque à gagner, perte de clientèle, atteinte à la réputation ou tout autre dommage direct ou indirect imputables directement ou indirectement à un retard ou une défaillance quelconque dans une
livraison. De même, un retard de livraison des Produits et/ou de réalisation des Services ne saurait autoriser l’Acheteur à annuler la vente de Produits ou à en refuser la livraison ni à annuler la prestation de Services.
6.2 Dans l’hypothèse où l’Acheteur retournerait ou refuserait une livraison de Produits conformes à la commande, la Société aura le choix soit de facturer l’Acheteur pour de tels Produits et livrer le solde des Produits non encore livrés, soit de suspendre ou d’annuler toute livraison ultérieure. la Société aura également la possibilité de procéder au stockage desdits Produits aux frais et risques de l’Acheteur qui sera tenu du paiement de tous frais supplémentaires supportés par la Société pour le stockage, le transport et l’assurance des Produits. Trois mois après la date d’exigibilité des Produits, la Société aura le droit de disposer à sa convenance des Produits restés en sa possession.
6.3 Sauf disposition contraire, les livraisons des Produits s’entendent Départ Usine (« ex-works ») de sorte que les Produits seront réputés livrés et le risque transféré à l’Acheteur dès la notification à l’Acheteur de la mise à disposition des Produits à l’entrepôt de la Société.
6.4 Dans l’hypothèse où la livraison des produits s’effectue F.O.B. ou C.A.F. ou selon tout autre INCOTERM, ces modalités de livraison seront réputées faire partie intégrante des présentes conditions, dans la mesure seulement où elles n’y contreviennent pas.
6.5 Sauf accord contraire, la Société pourra procéder à des livraisons d’une façon globale ou partielle, étant précisé qu’en cas de livraisons échelonnées, chaque livraison sera considérée comme faisant l’objet d’un contrat distinct.
6.6 En toute hypothèse, la livraison des Produits et l’exécution des Services ne peut intervenir que si l’Acheteur est à jour de ses obligations de toute nature envers la Société. En cas de défaut de la part de l’Acheteur, et en présence de livraisons de Produits ou de prestations de Services successives, la Société pourra suspendre les livraisons ou les Services jusqu’au complet paiement des sommes dues par l’Acheteur ou annuler les livraisons non encore réalisées ou les Services non encore exécutés en avisant l’Acheteur par écrit.

7. EXPORTATION
L’Acheteur garantit qu’il ne contrevient à aucune loi ou réglementation française, européenne, américaine ou toute autre réglementation locale relative à l’exportation des Produits.

8. CLAUSE DE PROPRIETE
Le transfert de propriété au profit de l’Acheteur interviendra à la livraison

9. VARIATIONS
Toute variation dans la quantité livrée, limitée à 10 % par rapport à la quantité convenue, en plus ou en moins, ne saurait constituer un manquement de la Société à son obligation de délivrance. Dans ce cas, l’Acheteur devra payer pour la quantité effectivement livrée.

10. SPECIFICATIONS DE L’ACHETEUR
L’Acheteur garantira et indemnisera intégralement la Société contre toute action, réclamation, dommage, perte ou dépenses encourus par OPTIMAS OE SOLUTIONS ou contre toutes sommes que la Société serait condamnée à payer et résultant, directement ou indirectement de toute intervention sur les Produits demandée par l’Acheteur et effectuée conformément à ses instructions et spécifications, y compris en cas de violation ou d’atteinte aux droits de propriété intellectuelle appartenant à un tiers.

11. GARANTIES ET RESPONSABILITES
11.1 Aucun vice apparent ni aucun défaut de conformité et/ou variation dans la quantité livrée, supérieure à 10% par rapport à la quantité convenue, en plus ou en moins ne pourra faire l’objet d’une réclamation auprès de la Société que dans les sept (7) jours suivant la livraison. Dans les cas où la Société accepterait une responsabilité pour toute variation dans la quantité livrée, la seule obligation de la Société sera de livrer laquantité manquante.
11.2 Les Produits sont garantis, sous réserve de toute disposition contraire, pour une durée de douze (12) mois (trente (30) jours pour les logiciels) à compter de la date de livraison, contre les défauts de fabrication ou de conception (à l’exception des vices de conception inhérents aux spécifications de l’Acheteur) et/ou contre les défauts de conformité.
11.3 La Société garantit que les Services seront exécutés avec diligence et compétence raisonnables.
11.4 La Société ne donne aucune garantie que les logiciels fonctionneront sans interruption ou ne comporteront aucune erreur.
11.5 Les garanties décrites à l’article 11.2 ci-dessus ne sauraient s’appliquer aux défauts ou détériorations provoqués par l’usure naturelle ou un accident extérieur, lorsque le défaut ou vice allégué est notamment dû à une fausse manœuvre, négligence, modification du Produit non prévue ni spécifiée, stockage impropre, mauvaise installation, mauvaise utilisation ou mauvais entretien des Produits.
11.6 Sous réserve des stipulations des articles 11.4 et 11.5 ci-dessus, il est expressément convenu que l’obligation de la Société au titre de la garantie décrite à l’article 11.2 ci-dessus sera limitée, au choix de la Société, au remplacement ou à la réparation des Produits ou au remboursement du prix des Produits, à la condition que l’Acheteur retourne à ses frais les Produits défectueux. Le recours exclusif de l’Acheteur en cas de manquement à l’obligation de garantie telle que décrite à l’article 9.1 ci-dessus sera l’exécution par la Société de son obligation de remplacement, de réparation ou de remboursement du prix (dans tous les cas au
choix de la Société). L’Acheteur pourra être tenu, à la demande de la Société, d’agir exclusivement et directement à l’encontre du fabricant des Produits. Les Produits ainsi réparés ou remplacés seront garantis conformément aux présentes pour la période non encore expirée des douze (12) mois.
11.7 Sans préjudice de l’article 11.6, la responsabilité de la Société vis-à-vis de l’Acheteur, que ce soit en cas de faute, négligence, rupture de contrat, fausse déclaration ou autrement (que ceux-ci aient été causés ou pas par un acte ou une omission des employés, agents ou sous-traitants de la Société), ne pourra en aucun cas excéder :
(a) £100,000 par période de 12 mois pour les attaches, ou
(b) cent (100) % du coût du Produit ou du Service concerné qui a donné lieu à la mise en jeu de la responsabilité de la Société. Le coût de ce Produit ou de ce Service sera déterminé par le prix net facturé à l’Acheteur à cette occasion.
11.8 La Société n’encourra aucune responsabilité vis-à-vis de l’Acheteur pour toute perte de profit ou de bénéfice, perte d’activité ou atteinte à l’image de marque, ou tout autre dommage, préjudice, direct ou indirect, consécutifs ou spéciaux ou toute autre réclamation résultant des présentes, même si la Société a été informé de la possibilité desdits dommages ou préjudices et quelle que soit la cause de ces pertes ou dommages.
11.9 Sous réserve de ce qui précède, toute autre condition garantie, déclaration, expresse ou implicite, réglementaire ou autre, relative au Produit ou Service est expressément exclue, dans la limite permise par la loi applicable.
11.10 Aucune stipulation du présent article 11 ou contenue dans les présentes n’exclura ou ne limitera la responsabilité de la Société en cas de décès ou de préjudice corporel causé par la négligence ou la faute intentionnelle de la Société.

12. LICENCES ET AUTORISATIONS
12.1 Le présent contrat est conclu sous réserve de l’obtention de toutes les licences ou autorisations préalables nécessaires (autres que les autorisations d’importation du Produit par l’Acheteur). L’Acheteur devra, à cet égard signer tous les documents et fournir toute assistance à la Société dans le but d’obtenir ces autorisations.
12.2 L’Acheteur devra, à ses frais, faire son affaire de l’obtention de toute licence ou autre autorisation d’importation des Produits et si la demande lui en est faite, justifier à la Société d’une telle obtention.

13. MATERIEL APPARTENANT A L’ACHETEUR
L’Acheteur restera propriétaire et assumera les risques sur les produits qui lui appartiennent et qui sont en la possession d’OPTIMAS OE SOLUTIONS. OPTIMAS OE SOLUTIONS ne sera responsable d’aucune perte ou dommage occasionné au matériel appartenant à l’Acheteur en dépôt chez OPTIMAS OE SOLUTIONS à moins que cette perte ou ce dommage ne résulte exclusivement de la faute d’OPTIMAS OE SOLUTIONS. Le dédommagement versé par OPTIMAS OE SOLUTIONS en cas de perte ou dommage sera limité aux coûts directs de fabrication des matériels appartenant à l’Acheteur (si ce matériel est fabriqué par l’Acheteur ou ses filiales) ou aux coûts de remplacement (si le matériel a été acheté à un tiers), dans les deux cas déduction faite de sa valeur résiduelle. L’Acheteur devra assurer ses matériels contre les risques de perte ou de dommage ne résultant pas de la faute exclusive d’OPTIMAS OE SOLUTIONS. OPTIMAS OE SOLUTIONS n’assume aucune responsabilité en cas de perte ou de dommage aux matériels appartenant à l’Acheteur dû à un cas de force majeure (tel que défini àl’article 14.2 ci-dessus).

14. FORCE MAJEURE
14.1 La responsabilité de la Société ne sera en aucun cas engagée à raison de retards ou de manquements
quelconques dans la livraison des Produits ou la réalisation des Services, dès lors qu’ils sont imputables à une
cause indépendante de sa volonté.
14.2 De convention expresse, de telles causes comprendront, notamment arrêt d’exploitation, absence de maind’œuvre, incendie, grève, lock-out, troubles sociaux, insurrection, émeute, inondation, épidémie, saisie administrative ou judiciaire, embargo, quarantaine, restriction, guerre, défaillance de sous-traitant, fait du prince, restriction en matière de change, d’importation ou d’exportation, cas fortuit, fait de l’Acheteur, défaillance ou retard du transporteur affectant la fourniture des Produits et matières premières à la Société par ses sources habituelles d’approvisionnement, la fabrication des Produits pour OPTIMAS OE SOLUTIONS
avec ses moyens habituels de fabrication, la livraison des Produits par la Société selon ses routes habituelles ou avec ses moyens habituels de livraison et l’exécution des Services par OPTIMAS OE SOLUTIONS selon ses procédures habituelles.

15. RESILIATION
En cas de manquement de l’Acheteur à l’une quelconque de ses obligations au titre des présentes ou d’un Contrat signé entre la Société et l’Acheteur, la Société se réserve le droit de suspendre ou interrompre toute livraison, d’annuler ou suspendre tous les contrats conclus avec l’Acheteur, et de résilier immédiatement les présentes par courrier recommandé avec demande d’avis de réception. En cas d’ouverture d’une procédure de procédure collective à l’encontre de l’Acheteur (procédure de sauvegarde, redressement ou liquidation judiciaire), la Société peut bloquer tout Produit en transit et suspendre toute livraison à venir et notifier par écrit avec effet immédiat à l’Acheteur la résiliation du Contrat, sans préjudice de l’article 5.3 ci-dessous et toute réclamation existante.

16. RENONCIATION
Le fait que l’une des parties ne se prévale pas à un moment quelconque de l’une des dispositions des présentes conditions générales de vente ne peut être interprété comme valant renonciation à se prévaloir ultérieurement de cette disposition.

17. COMMUNICATIONS
Toute communication devant être effectuée entre les parties sera réputée effectuée si cette communication a été faite par lettre recommandée, télex ou télécopie adressé à l’autre partie, à son siège principal ou à sa dernière adresse connue.

18. INTITULES
Les intitulés des articles des présentes conditions sont indiqués uniquement pour faciliter la lecture et sont sans incidence sur l’interprétation du contenu de ces dispositions.

19. SEVERABILITE
Si une clause quelconque de présentes conditions était considérée par une juridiction ou toute autre autorité comme nulle, illégale ou inapplicable pour quelque motif que ce soit, elle serait considérée seule comme nulle et non avenue, mais les autres conditions seraient maintenues et produiraient leur plein effet.

20. LOI APPLICABLE – JURIDICTION
Ces conditions générales de vente sont régies et interprétées conformément à la loi française et en cas de litige relatif découlant ou en relation avec les présentes conditions, le Tribunal de Commerce de Paris sera seul compétent, même en cas d’appel en garantie, de demandes incidentes ou de pluralité de défendeurs.

Allgemeinen Verkaufs- und Lieferbedingungen Nr.: 10/2009. Anderen Einkaufsbedingungen oder sonstigen Allgemeinen Geschäftsbedingungen des Käufers wird hiermit widersprochen. Sie werden nicht angewendet. Optimas ist berechtigt, seine Allgemeinen Verkaufs-, und Lieferbedingungen Nr.: 10/2009 mit Wirkung für die zukünftige gesamte Geschäftsbeziehung mit dem Käufer nach einer entsprechenden Mitteilung zu ändern.
2. Besteht zwischen dem Käufer und Optimas eine Rahmenvereinbarung, gelten diese Allgemeinen Verkaufs- und Lieferbedingungen sowohl für diese Rahmenvereinbarung als auch für den einzelnen Auftrag.

II. Vertragsschluss
1. Angebote von Optimas sind freibleibend und unverbindlich. Die zu dem Angebot gehörenden Unterlagen wie Abbildungen, Zeichnungen, Gewichts- und Maßangaben sind nur Annäherungswerte, soweit sie nicht ausdrücklich als verbindlich erklärt werden. Stellt Optimas dem Käufer Zeichnungen oder technische Unterlagen über den zu liefernden technischen Kaufgegenstand zur Verfügung, so bleiben diese Eigentum von Optimas.
2. Bestellungen des Käufers sind für diesen verbindlich. Sofern von Optimas keine anderweitige schriftliche Bestätigung erfolgt, gilt die Lieferung oder Rechnung als Auftragsbestätigung.
3. Ist der Käufer Kaufmann, ist für den Inhalt von Bestellungen und Vereinbarungen ausschließlich die schriftliche Bestätigung von Optimas maßgeblich, sofern der Käufer nicht unverzüglich schriftlich widerspricht. Dies gilt insbesondere für mündliche oder telefonische Bestellungen und Vereinbarungen. Eine Mitteilung an Optimas ist jedenfalls dann nicht mehr unverzüglich, wenn sie Optimas nicht innerhalb von sieben Tagen nach Zugang der Auftragsbestätigung zugegangen ist.

III. Liefertermin, Lieferumfang, Lieferverzug
1. Liefertermine und -fristen gelten nur als annähernd vereinbart, wenn nicht Optimas eine schriftliche Zusage ausdrücklich als verbindlich abgegeben hat. Bei nicht rechtzeitiger Klarstellung aller Einzelheiten des Auftrags durch den Käufer sowie der nicht rechtzeitigen Erbringung aller Vorleistungen des Käufers verlängern sich die Liefertermine entsprechend. Liefertermine gelten mit Meldung der Versandbereitschaft als eingehalten.
2. Optimas ist zu Teillieferungen berechtigt, soweit diese nicht das zumutbare Mindestmaß unterschreiten.
3. Bei Lieferverzögerungen durch Betriebsstörungen, behördliche Maßnahmen, Ausbleiben von Zulieferungen an Optimas oder höhere
Gewalt verlängert sich die Lieferfrist angemessen. Höhere Gewalt liegt auch vor bei Arbeitskampfmaßnahmen einschließlich Streiks und rechtmäßigen Aussperrungen im Betrieb von Optimas oder bei den Vorlieferanten von Optimas. Ansprüche des Käufers auf Schadensersatz sind in diesen Fällen in den Grenzen des Abschnittes VII (Allgemeine Haftungsbeschränkung) ausgeschlossen.

IV. Preise, Zahlungsbedingungen
1. Die Preise schließen Mehrwertsteuer, Fracht, Zoll, Porto, Verpackung, Versicherung und sonstige Spesen nicht ein. Die Verpackung wird zu den Selbstkosten berechnet; ihre Rücknahme ist ausgeschlossen.
2. Mangels besonderer Vereinbarungen sind Rechnungen sofort ohne Abzug zur Zahlung fällig.
3. Kommt der Käufer in Zahlungsverzug, so ist Optimas berechtigt, Verzugszinsen in Höhe von 8% über dem Basiszinssatz zu fordern. Die Geltendmachung eines konkreten Verzugsschadens bleibt vorbehalten.
4. Aufrechnungsrechte stehen dem Käufer nur zu, wenn seine Gegenansprüche rechtskräftig festgestellt, unbestritten oder von Optimas anerkannt sind.

V. Gefahrübergang, Abnahme
1. Die Gefahr geht mit Beginn der Verladung bzw. Versendung des Liefergegenstandes auf den Käufer über, und zwar auch dann,
wenn Teillieferungen erfolgen oder Optimas noch andere Leistungen, z.B. die Versandkosten oder Anlieferung und Aufstellung und/oder Inbetriebnahme übernommen hat.
2. Verzögert sich der Versand bzw. die Abnahme aus Gründen, die Optimas nicht zu vertreten hat, geht die Gefahr vom Tage der Meldung der Versand- bzw. Abnahmebereitschaft auf den Käufer über.

VI. Gewährleistung, Mängelrüge
1. Für Mängel der Lieferung haftet Optimas unter Ausschluss weiterer Ansprüche wie folgt:
Die Gewährleistungsfristen betragen bei privater Nutzung (Verbrauchsgüterkauf, § 474 BGB) ab Gefahrenübergang 24 Monate,
bei gewerblicher und/oder beruflicher Nutzung 12 Monate.
2. Wird im Rahmen der Gewährleistung nachgebessert oder nachgeliefert, löst dies keinen neuen Beginn der Gewährleistungsfrist
aus.
3. Eigenschaften sind nur dann zugesichert, wenn sie als solche ausdrücklich im Vertragbezeichnet sind. Mündliche Angaben sowie
Angaben in den Unterlagen von Optimas enthalten keine Zusicherungen, insbesondere Proben, Muster, Maße, DIN Bestimmungen,
Leistungsbeschreibungen und sonstige Angaben über die Beschaffenheit des Liefergegenstandes dienen der Spezifikation und sind keine zugesicherten Eigenschaften. Soweit die von Optimas zu verwendenden Materialien vertraglich spezifiziert sind, gewährleistet dies nur die Übereinstimmung mit der Spezifikation und nicht die Geeignetheit der Materialien für den vertraglichen Zweck. Zu Hinweisen ist Optimas nur bei ihrer offensichtlichen Ungeeignetheit verpflichtet.
4. Schäden, die durch äußeren Einfluss, unsachgemäße Aufstellung und Behandlung, mangelhafte Bedienung oder Wartung, Korrosion oder gewöhnliche Abnutzung entstanden sind, sind von der Gewährleistung ausgenommen. Keine Gewährleistung wird auch für das Auftreten von Wasserstoffversprödung übernommen, insbesondere wenn spezielle Produktbehandlungen oder Beschichtungen vorgenommen werden. In diesen Fällen gilt nach dem heutigen Stand der Technik und den Spezifikationen für Verbindungselementen, dass die Gefahr der Wasserstoffversprödung bei einer Festigkeitsklasse von 12.9 (= Mindestzugfestigkeit und Verhältnis der unteren Streckgrenze zur Nennzugfestigkeit) generell besteht, bei 10.9 in den meisten Fällen und bei 8.8 in Extremfällen. Bei Teilen aus Federstahl wird ebenfalls keine Gewährleistung für Wasserstoffversprödung übernommen, da diese Gefahr hier nie auszuschließen ist.
5. Der Käufer ist verpflichtet, die gelieferte Ware unverzüglich nach Erhalt ordnungsgemäß auf seine Kosten zu untersuchen und etwaige Mängel, Falschlieferungen, offensichtlich nicht genehmigungsfähige Falschlieferungen oder Mindermengen, Optimas gegenüber unverzüglich schriftlich anzuzeigen, bei offenkundigen Mängeln binnen sieben Tagen ab Erhalt der Lieferung. Verdeckte Mängel sind Optimas unverzüglich nach Entdeckung schriftlich anzuzeigen. Im Übrigen bleibt § 377 HGB bei einem beiderseitigen Handelsgeschäft unberührt.
6. Etwaige Qualitätsmängel einer Teillieferung berechtigen nicht zur Zurückweisung des Restes der abgeschlossenen Menge, es sei denn, der Käufer kann nachweisen, dass die Annahme nur eines Teils der Lieferung unter Berücksichtigung der Umstände für ihn unzumutbar ist.
7. Stellt der Käufer einen Mangel fest, so darf er den Liefergegenstand nicht verändern, verarbeiten oder an Dritte herausgeben, sondern hat Optimas ausreichende Gelegenheit und Zeit einzuräumen, sich von dem Mangel zu überzeugen und gegebenenfalls die erforderliche Nacherfüllung (Nachbesserung oder Ersatzlieferung) vorzunehmen; anderenfalls entfallen alle Mangelansprüche. Nur in dringenden Fällen der Gefährdung der Betriebssicherheit bzw. zur Abwehr unverhältnismäßig großer Schäden, wobei Optimas unverzüglich zu benachrichtigen ist, hat der Käufer das Recht, den Mangel selbst oder durch Dritte beseitigen zu lassen und von Optimas Ersatz der erforderlichen Aufwendungen zu verlangen. Unabhängig vom Vorliegen eines Mangels erlöschen die Gewährleistungsansprüche auch dann, wenn ohne die Genehmigung von Optimas seitens des Käufers oder eines Dritten Änderungs- oder Instandsetzungsarbeiten vorgenommen werden.
8. Transportschäden sind dem Verkäufer unverzüglich mitzuteilen. Die erforderlichen Formalitäten hat der Käufer mit dem Frachtführer zu regeln, insbesondere alle notwendigen Feststellungen zur Wahrung von Rückgriffsrechten gegenüber Dritten zu treffen. Soweit handelsüblicher Bruch, Schwund oder ähnliches in zumutbarem Rahmen bleiben, kann dies nicht beanstandet werden.
9. Bei berechtigter Beanstandung erfolgt nach Wahl von Optimas Nachbesserung fehlerhafter Ware oder Ersatzlieferung. Mehrfache
Nachbesserungen sind zulässig.
10.Im Falle der Mangelbeseitigung ist Optimas verpflichtet, alle zum Zwecke der Mängelbeseitigung erforderlichen Aufwendungen
insbesondere Transport-, Wege-, Arbeits-, und Materialkosten zu tragen, soweit sich diese nicht dadurch erhöhen, dass die Kaufsache an einen anderen Ort als den Erfüllungsort gebracht wurde.
11 Hinsichtlich des Liefergegenstandes hat der Käufer, der kein Verbraucher ist, nur das Recht auf Nachbesserung oder Ersatzlieferung nach Wahl von Optimas. Weitere Rechte sind ausgeschlossen. Allerdings kann der Käufer den Kaufpreis mindern oder vom Vertrag zurücktreten, wenn die Nachbesserung oder Ersatzlieferung fehlschlägt.

VII. Allgemeine Haftungsbeschränkung
1. Wenn der Liefergegenstand durch Verschulden von Optimas infolge unterlassener oder fehlerhafter Beratung vor oder nach Vertragsschluss oder durch die Verletzung anderer vertraglicher Nebenpflichten (z. B. Bedienungs oder Wartungsanleitung) vom Käufer nicht vertragsgemäß verwendet werden kann, so gelten die Regelungen der Abschnitte VI und VII.2 entsprechend, weitergehende Ansprüche des Käufers werden ausgeschlossen.
2. Für Schäden, die nicht am Liefergegenstand selbst entstandenen sind, haftet Optimas – aus welchen Rechtsgründen auch immer – nur
– bei Vorsatz,
– bei grober Fahrlässigkeit des Inhabers / der Organe oder leitender Angestellter,
– bei schuldhafter Verletzung von Leben, Körper, Gesundheit,
– bei Mängeln, die er arglistig verschwiegen oder deren Abwesenheit er garantiert hat,
– bei Mängeln des Liefergegenstandes, soweit nach dem Produkthaftungsgesetz für Personen- oder Sachschäden an privat genutzten Gegenständen gehaftet wird.
Bei schuldhafter Verletzung wesentlicher Vertragspflichten haftet Optimas auch bei grober Fahrlässigkeit nicht leitender Angestellter und bei leichter Fahrlässigkeit, in letzterem Fall begrenzt auf den vertragstypischen, vernünftiger Weise vorhersehbaren Schaden; weitere Ansprüche sind ausgeschlossen.

VIII. Eigentumsvorbehalt, Sicherheiten
1. Optimas behält sich das Eigentum an dem Liefergegenstand bis zum Eingang aller Zahlungen aus dem Liefervertrag vor. Bei vertragswidrigem Verhalten des Käufers, insbesondere bei Zahlungsverzug, sowie bei Antragstellung auf Eröffnung eines Insolvenzverfahrens ist Optimas zur Rücknahme des Liefergegenstandes nach Mahnung berechtigt und der Käufer zur Herausgabe verpflichtet. Bei Pfändungen oder sonstigen Eingriffen Dritter hat der Käufer Optimas unverzüglich schriftlich zu benachrichtigen.
2. Der Käufer hat die Vorbehaltsware ausreichend gegen Diebstahl, Bruch-, Feuer-, Wasser und sonstige Schäden zu versichern. Hat der Käufer die Versicherung nicht abgeschlossen oder erbringt trotz Aufforderung durch Optimas keinen entsprechenden Nachweis, so ist Optimas berechtigt, den Liefergegenstand auf Kosten des Käufers selbst zu versichern.
3. Der Käufer ist berechtigt, den Liefergegenstand im ordentlichen Geschäftsgang weiterzuverkaufen. Er tritt jedoch Optimas bereits jetzt alle Forderungen ab, die ihm aus der Weiterveräußerung gegen den Abnehmer oder gegen Dritte erwachsen, und zwar gleichgültig, ob die Vorbehaltsware ohne oder nach Verarbeitung weiterverkauft wird. Zur Einziehung dieser Forderungen ist der Käufer auch nach der Abtretung ermächtigt. Die Befugnis von Optimas, die Forderungen selbst einzuziehen, bleibt hiervon unberührt; jedoch verpflichtet sich Optimas, die Forderungen nicht einzuziehen, solange der Käufer seinen Zahlungsverpflichtungen ordnungsgemäß nachkommt. Optimas kann verlangen, dass der Käufer ihm die abgetretenen Forderungen und deren Schuldner bekanntgibt, alle zum Einzug erforderlichen Angaben macht, die dazugehörigen Unterlagen aushändigt und den Schuldnern die Abtretung mitteilt. Wird der Liefergegenstand zusammen mit anderen Waren, die Optimas nicht gehören, weiterverkauft, so gilt die Forderung des Käufers gegen den Abnehmer in Höhe des zwischen Optimas und dem Käufer vereinbarten Lieferpreises als abgetreten.
4. Die Verarbeitung oder Umbildung von Vorbehaltssachen wird durch den Käufer stets für Optimas vorgenommen. Wird die Vorbehaltssache mit anderen nicht Optimas gehörenden Gegenständen verarbeitet oder untrennbar vermischt, so erwirbt Optimas das Miteigentum an der neuen Sache im Verhältnis des Wertes der Vorbehaltssache zu den anderen verarbeiteten oder vermischten Gegenständen zur Zeit der Verarbeitung oder Vermischung. Werden Waren von Optimas mit anderen beweglichen Gegenständen zu einer einheitlichen Sache verbunden oder untrennbar vermischt und ist die andere Sache als Hauptsache anzusehen, so gilt als vereinbart, dass der Käufer Optimas anteilsmäßig Miteigentum überträgt, soweit die Hauptsache ihm gehört. Der Käufer verwahrt das Eigentum oder Miteigentum für Optimas. Für die durch die Verarbeitung, Umbildung oder Verbindung sowie Vermischung entstehende Sache gilt im Übrigen das gleiche wie für die Vorbehaltsware.
5. Für die ordnungsgemäße Erfüllung der Verbindlichkeiten des Käufers ist Optimas berechtigt, angemessene Sicherheiten zu fordern. Optimas verpflichtet sich, die ihm zustehenden Sicherungen insoweit freizugeben, als ihr Wert die zu sichernden Forderungen, soweit diese noch nicht beglichen sind, um mehr als 20% übersteigt.

IX. Erfüllungsverpflichtung, Unmöglichkeit und Nichterfüllung
1. Die Lieferverpflichtung und die Lieferfrist von Optimas unterliegen dem Vorbehalt der ordnungsgemäßen, vollständigen und rechtzeitigen Selbstbelieferung. Optimas wird den Käufer unverzüglich über eine Nichtverfügbarkeit des Liefergegenstandes und deren voraussichtliche Dauer informieren. Ist der Liefergegenstand dauerhaft nicht verfügbar, kann Optimas vom Vertrag zurücktreten. Optimas wird dem Käufer in diesem Fall etwaige bereits erbrachte Leistungen unverzüglich erstatten.
2. Wenn Optimas die gesamte Leistung vor Gefahrübergang aufgrund eines von Optimas zu vertretenden Umstandes unmöglich wird, kann der Käufer vom Vertrag zurücktreten. Im Falle einer teilweisen Unmöglichkeit oder teilweisen Unvermögens gilt die vorstehende Regelung nur für den entsprechenden Teil. Der Käufer kann in diesem Fall nur vom Gesamtvertrag zurücktreten, wenn er ein berechtigtes Interesse an der Ablehnung der Teillieferung nachweisen kann. Weitergehende Ansprüche des Käufers, insbesondere
Ansprüche auf Schadensersatz, sind nach Maßgabe der Regelungen aus den Abschnitten VI und VII ausgeschlossen.
3. Tritt die Unmöglichkeit während des Annahmeverzuges oder durch Verschulden des Käufers ein, so bleibt dieser zur Erfüllung verpflichtet.
4. Nach Rücktritt von Optimas vom Vertrag bzw. nach Fristsetzung mit Ablehnungsandrohung ist Optimas berechtigt, zurückgenommene Ware frei zu verwerten.

X. Erfüllungsort, Gerichtsstand, anwendbares Recht
1. Soweit vertraglich nichts anderes vereinbart wurde, ist Erfüllungsort für die Zahlung und die Warenlieferung der Geschäftssitz von Optimas.
2. Wenn der Käufer, Kaufmann, eine juristische Personen des öffentlichen Rechts oder ein öffentlich-rechtliches Sondervermögen ist,
ist der Geschäftssitz von Optimas Gerichtsstand für alle Rechtsstreitigkeiten, auch im Rahmen eines Wechsel- oder
Scheckprozesses; Klagen gegen Optimas können nur dort anhängig gemacht werden.
3. Es ist ausschließlich das Recht der Bundesrepublik Deutschland anzuwenden unter Ausschluss des internationalen Privatrechts, des
vereinheitlichten internationalen Rechts und unter Ausschluss des UN Kaufrechts.

XI. Rechtswirksamkeit, Datenschutz
1. Sollte eine der Bestimmungen dieser Allgemeinen Verkaufs- und Lieferbedingungen unwirksam sein oder werden, berührt dies die
Wirksamkeit des Vertrages im Übrigen nicht. Es gilt an ihrer Stelle die gesetzliche Regelung. Existiert eine solche nicht, gilt dasjenige, was die Parteien gewollt hätten, hätten sie die entstandene Lücke bei Vertragsschluss gekannt. In keinem Fall wird die betreffende Bestimmung in diesen Allgemeinen Verkaufs- und Lieferbedingungen durch Geschäftsbedingungen des Käufers ersetzt.
2 Etwaige Änderungen oder Ergänzungen des Vertrages bedürfen zu ihrer Wirksamkeit der schriftlichen Bestätigung durch Optimas; dies gilt auch für eine Abweichung von der vertraglichen Schriftformerfordernis selbst.
3 Rechtserhebliche Willenserklärungen wie Kündigungen, Rücktrittserklärungen, Verlangen nach Kaufpreisminderung oder
Schadensersatz sind nur wirksam, wenn sie schriftlich erfolgen.
4. Optimas ist berechtigt, die im Zusammenhang mit der Geschäftsverbindung erhaltenen Daten über den Käufer- auch wenn
diese von Dritten stammen – im Sinne des Bundesdatenschutzgesetzes zu bearbeiten und zu speichern und durch von Optimas beauftragte Dritte bearbeiten und speichern zu lassen.

1. Definizioni
In queste condizioni per “il Venditore” si intende la Optimas OE Solutions Srl o ogni società da questa controllata e/o collegata che, dall’intestazione del presente documento, risulti venditrice dei Beni e/o Servizi all’Acquirente; per “l’Acquirente” si intende il soggetto giuridico che acquista i Beni e/o i Servizi del Venditore e a cui sono pertanto indirizzate le fatture del Venditore relative alla fornitura di tali Beni e/o Servizi; per “Beni” si intende i prodotti da fornire all’Acquirente in forza del Contratto; per “Servizi” si intendono i servizi da fornire all’Acquirente in forza del Contratto; e per “il Contratto” si intende il contratto relativo alla vendita di Beni e alla fornitura di Servizi concluso fra il Venditore e l’Acquirente.

2. Ambito di applicazione
Salvo diverso accordo, queste condizioni dovranno essere considerate come automaticamente facenti parte di qualsiasi ordine o contratto per la fornitura di Beni e/o Servizi concluso dal Venditore e avranno sempre e comunque assoluta priorità su qualsiasi termine e condizione eventualmente indicati dall’Acquirente nei suoi ordini o nella corrispondenza o in altro documento eventualmente scambiato con il Venditore. I termini e condizioni dell’Acquirente saranno pertanto da considerarsi non applicabili al Contrato e interamente sostituiti dalle presenti condizioni e termini.

3. Conclusione del Contratto
Il Contratto è concluso nel momento in cui il Venditore riceve l’accettazione scritta dell’ordine sottoscritta dall’Acquirente.Ciascun ordine costituisce un singolo Contratto di vendita.

4. Prezzi
I prezzi indicati si intendono netti di IVA e di ogni altra tassa o imposta, secondo quanto indicato nell’offerta. Salvo il caso in cui l’offerta espressamente preveda che i prezzi debbano essere fissi, essi sono da intendersi come prezzi vigenti ed applicati dal Venditore al momento della spedizione e pertanto il Venditore, si riserva il diritto di variarli sino alla data di spedizione per mezzo di notifica scritta, in conseguenza di incrementi dei costi, quali, a titolo meramente esemplificativo ma non esaustivo: incremento del costo della materia prima, incremento del costo del lavoro e variazione dei tassi di cambio. Se non diversamente stabilito per
iscritto, i prezzi sono da intendersi “Ex Works” (come definito in Incoterms 2010). L’IVA ed eventuali altre tasse, oneri o imposte di qualsiasi altro genere quali, a titolo esemplificativo, ma non esaustivo, tasse, imposte od oneri sulla produzione, vendita, spedizione, importazione, esportazione o utilizzo della merce o sulla fornitura di servizi, saranno a carico dell’Acquirente e verranno dallo stesso pagate al Venditore, a meno che l’Acquirente non produca al Venditore certificati di esonero considerati validi per le rispettive Autorità fiscali. Tale importo sarà dovuto anche se non incluso nella fattura. Salvo quanto diversamente pattuito per iscritto di volta in volta, vengono applicati i limiti di differenza quantitativa di merce normalmente applicati dal produttore che, per quanto concerne fili metallici e cavi, consentono un eccesso fino al 10% e un difetto fino al 5%. Il prezzo di acquisto di tali Beni sarà, pertanto, pari al prezzo unitario moltiplicato per la quantità effettivamente spedita.

5. Modalità di pagamento
Salvo diverso accordo scritto, l’Acquirente pagherà interamente il prezzo di acquisto
(a) per i Beni entro e non oltre 30 giorni dalla data della spedizione della merce e
(b) per i Servizi entro e non oltre 30 giorni dalla data in cui detti servizi verranno forniti. In caso di inadempimento dell’Acquirente al pagamento del prezzo totale di acquisto entro i suddetti 30 giorni, il Venditore avrà diritto ad imporre un addebito per interessi moratori equivalente, mensilmente, al più basso dei seguenti importi:
(i) l’1,5% del prezzo di acquisto non pagato e (ii) l’importo massimo consentito dalla legge in quel momento in vigore per interessi moratori. Il Venditore avrà anche diritto, in aggiunta al ricorso a qualsiasi altro rimedio previsto dalla legge o dai regolamenti eventualmente applicabili, ad ottenere il rimborso delle spese legali e/o di qualsiasi altra spesa affrontate per ottenere il pagamento del prezzo di acquisto o per fare altrimenti valere e difendere con esito positivo i propri diritti rispetto al Contratto di vendita cui le presenti condizioni fanno riferimento.

6. Proprietà e rischi
Ad eccezione del software, la proprietà della Beni venduta dal Venditore è trasferita all’Acquirente alla spedizione. Salvo espressamente e diversamente concordato di volta in volta e per iscritto, la proprietà di eventuali software incorporati nei Beni o
trasferiti con essi in base al Contratto resterà in capo all’originario titolare e all’Acquirente sarà concessa una licenza d’uso su detto software, nei limiti necessari all’utilizzo e secondo quanto stabilito nel relativo contratto di licenza. Il rischio sui Beni verrà assunto dall’Acquirente dal momento della consegna degli stessi all’Acquirente o a qualsiasi vettore, spedizioniere, depositario o rappresentante che agisca per suo conto.

7. Termini di consegna
Salvo quanto diversamente pattuito, la consegna sarà considerata “Ex-works” come definito in Incoterms 2010; tuttavia le parti possono accordarsi per iscritto diversamente. Le date di spedizione o altre date eventualmente previste per l’esecuzione di altre attività da parte del Venditore o dei suoi rappresentanti in base al Contratto verranno considerate date meramente indicative, determinate, tra l’altro, sul presupposto del pronto ricevimento dall’Acquirente della conferma di ordine debitamente sottoscritta, unitamente alle presenti condizioni, per sua accettazione e di tutte le informazioni, documenti disegni od autorizzazioni che dovessero essere forniti dallo stesso, nonché sul presupposto dell’assenza di ritardi, diretti e/o indiretti, risultanti da o parzialmente dovuti a eventi derivanti da cause non imputabili al Venditore che, pertanto, non potrà essere chiamato a risponderne. Il Venditore si adopererà in buona fede per effettuare la spedizione entro la data determinata, che sarà comunque sempre da considerarsi come indicativa e mai come termine essenziale; il Venditore avrà, altresì, il diritto a procedere con spedizioni scaglionate (nel qual caso ciascun scaglione sarà considerato come una vendita separata). Eventuali modifiche richieste dal’Acquirente sui termini e condizioni di consegna originariamente indicati dovranno essere convenute per iscritto dal Venditore e dall’Acquirente e, nell’eventualità in cui tali modifiche incidano sui tempi o sul costo di adempimento del Venditore, si effettuerà un congruo adeguamento della data di spedizione determinata, del prezzo di acquisto o di entrambi gli elementi. L’Acquirente è tenuto a ritirare i Beni entro una settimana dall’avviso di merce pronta. In difetto, e salva la riserva di proprietà sino all’intero pagamento del prezzo, il Venditore avrà la facoltà di provvedere al magazzinaggio della stessa presso un depositario di sua scelta, con addebito all’Acquirente di tutte le relative spese connesse sino all’effettivo ritiro da parte dell’Acquirente, restando inteso che comunque il rischio passerà totalmente a carico dell’Acquirente dal momento della consegna dei Beni al depositario (incluso rischio di furto, perdita o deterioramento per qualsiasi causa). Scaduti tre mesi dalla data dell’avviso di merce pronta senza che l’Acquirente abbia ritirato i Beni, questi potranno essere liberamente disposti dal Venditore, a suo piacimento, e l’Acquirente resterà comunque responsabile per il pagamento dell’intero prezzo, oltre ai costi di deposito, e salvo comunque ogni altro ulteriore rimedio di legge o diritto del Venditore a chiedere il risarcimento del maggior danno.

8. Imballaggi
In assenza di diverse indicazioni (da indicare espressamente per iscritto) relative all’imballaggio, al carico, al fissaggio a bordo, il Venditore dovrà soltanto adottare le disposizioni minime per quanto riguarda il metodo di trasporto stabilito e nessun addebito potrà essere ascritto al Venditore al riguardo. Se non è espressamente stabilito alcun metodo di trasporto specifico, la spedizione verrà effettuata con un metodo di trasporto ritenuto congruo dal Venditore. L’Imballo si intende a perdere, i costi dell’eventuale smaltimento saranno a carico dell’Acquirente.

9. Import/Export
L’Acquirente dichiara e garantisce che, con riguardo ai Beni acquistati, non infrangerà alcuna normativa americana, inglese o altra legge applicabile in materia di importazioni/esportazioni.

10. Ispezioni e verifiche
Prima della spedizione, se richiesto per iscritto e dietro congruo preavviso, il Venditore acconsentirà all’ispezione dei Beni nel proprio stabilimento da parte dell’Acquirente. L’Acquirente si impegna ad ispezionare la merce alla consegna e ad informare
immediatamente per iscritto il Venditore di eventuali difetti della stessa, pena la decadenza dalla garanzia di cui al successivo articolo 11 Ogni reclamo per eventuali ammanchi o danneggiamenti di parte della merce o per deficienze quantitative della stessa deve essere denunciato al trasportatore mediante nota apposta sul documento di trasporto sottoscritto all’atto della consegna e
comunicato per iscritto al Venditore entro 10 giorni dalla data di ricevimento della merce da parte dell’Acquirente; in assenza di ciò l’Acquirente non potrà più opporre alcun reclamo al riguardo.

11. Garanzie del Venditore
Il Venditore garantisce all’Acquirente che i Beni al momento della spedizione saranno esenti da vizi rilevanti relativamente a materiale e lavorazione e che saranno sostanzialmente conformi alle disposizioni fornite dal loro produttore o altrimenti convenute per iscritto. Qualsiasi garanzia del produttore limiterà automaticamente le garanzie del Venditore nel senso che la responsabilità del
Venditore nel suo complesso sarà comunque limitata e non si potrà in alcun modo estendere oltre tali garanzie. Ove possibile, il Venditore trasferirà tali garanzie all’Acquirente che, dietro sua richiesta, potrà in tal caso procedere esclusivamente e direttamente nei confronti di tale produttore, con scarico di qualsiasi responsabilità per il Venditore. La durata del periodo di garanzia sarà quella stabilita dal produttore della merce ed in ogni caso, o qualora non sia determinata alcuna durata da parte del produttore, non potrà comunque eccedere 12 mesi dalla data della relativa spedizione. Resta inteso che la presente garanzia non sarà efficace e non coprirà merce eventualmente soggetta a cattivo utilizzo o trascurata o che abbia subito incidenti, danni o che sia stata erroneamente installata o mantenuta. L’unico obbligo del Venditore, in conformità alle garanzie di cui al presente articolo, consisterà, a sua insindacabile scelta e a sua cura e spese, nella riparazione o nella sostituzione, o nel rimborso del prezzo della merce o della parte di questa che il Venditore ritenga ragionevolmente non conformarsi a quanto garantito, e a condizione in ogni caso che l’Acquirente spedisca a proprie spese detta merce difettosa al Venditore, e il solo provvedimento cui possa ricorrere l’Acquirente per violazione di alcuna delle suddette garanzie sarà l’azione per l’adempimento del suddetto obbligo del Venditore. E’ esclusa, inoltre, ogni responsabilità del Venditore per ogni e qualsiasi danno diretto o indiretto (sia esso danno emergente o lucro cessante) causato a persone o a cose dall’impiego improprio di qualsiasi prodotto fornito. Il Venditore, in nessun caso, può essere ritenuto responsabile, anche indirettamente, del mancato o insufficiente funzionamento dei prodotti e/o dei danni conseguenti (in particolare, è esclusa qualsiasi garanzia di buon funzionamento di cui all’art. 1512 codice civile). Per quanto riguarda, invece, la prestazione di Servizi, il Venditore si impegna a prestare gli stessi con la massima diligenza possibile e secondo quanto normalmente effettuato. Il Venditore non presta alcuna garanzia in relazione al software eventualmente incorporato o da utilizzarsi congiuntamente ai Beni, i particolare non garantisce che il software opererà senza interruzioni e che sia privo di errori di qualsiasi natura. Le garanzie di cui sopra sono esclusive e sostituiscono ogni altra garanzia di legge, commerciale, di idoneità a determinati scopi o di qualsiasi altro tipo, espressa e/o tacita. Nessun agente, dipendente o rappresentante del Venditore ha il potere di vincolare lo stesso tramite dichiarazioni, affermazioni o garanzie riguardanti i Beni e/o i Servizi e in nessun caso tali dichiarazioni, affermazioni e garanzie verranno applicate al relativo Contratto o potranno modificare in alcun modo i termini e le condizioni qui previsti.

12. Limitazione di responsabilità
Salvo l’obbligo di riparazione o sostituzione di prodotti difettosi previsto dal precedente articolo 11, e salva ogni altra limitazione prevista dalle presenti condizioni generali di vendita, la responsabilità totale del Venditore (inclusa qualsiasi responsabilità derivante da azioni od omissioni da parte dei suoi dipendenti, agenti o sub-fornitori) nei confronti dell’Acquirente, sia che derivi da un illecito contrattuale che extracontrattuale, da dichiarazioni inesatte o da altra azione od omissione posta in essere dal Venditore o dai suoi dipendenti, funzionari o rappresentanti, non potrà eccedere in ogni caso il 100 % del costo dei Beni difettosi, danneggiati o non consegnati o il 100% del costo del relativo Servizio che ha fatto sorgere tale responsabilità, ove per costo si intende il prezzo come fatturato all’Acquirente al netto di IVA, se applicabile, e di qualsiasi altra imposta o tassa eventualmente dovuta. Il Venditore non potrà comunque essere tenuto responsabile nei confronti dell’Acquirente per alcun danno relativo a lucro cessante, per la perdita di profitti, o per la perdita di avviamento o per danno all’immagine, per perdita di occasioni o altre simili pretese, sia che tali perdite fossero prevedibili o fossero state contemplate come possibilità dalle parti, sia che le stesse siano derivate o siano state causate da un illecito contrattuale o extracontrattuale (compresi i casi di negligenza), dalla violazione di una garanzia o altrimenti. Le suddette limitazioni di responsabilità si applicano in ogni caso, incluso nell’ipotesi di ritardata consegna o parziale inadempimento. Le limitazioni di cui al presente paragrafo non si applicano in caso di colpa grave o di azioni fraudolente del Venditore o per qualsiasi questione è illegale escludere o tentare di escludere la responsabilità.

13. Licenze e autorizzazzioni
Il Contratto è condizionato all’ottenimento di tutte le licenze ed autorizzazioni necessarie per la sua esecuzione (diverse da quelle relative all’importazione dei Beni da parte dell’Acquirente). A questo proposito l’Acquirente si impegna a sottoscrivere eventuali moduli e documenti ed a prestare la sua collaborazione al Venditore se necessario. E’ responsabilità esclusiva dell’Acquirente l’ottenimento a proprie spese di qualsiasi licenza o autorizzazione necessaria per l’importazione dei Beni da parte sua e, qualora necessario o su richiesta del Venditore, dovrà produrne relativa prova.

14. Beni di proprietà dell’Acquirente
La titolarità ed i rischi di qualsiasi bene di proprietà dell’Acquirente che sia eventualmente in possesso del Venditore rimarranno all’Acquirente stesso. Il Venditore non avrà alcuna responsabilità per perdita o danni in relazione a qualsiasi bene o materiale di proprietà dell’Acquirente eventualmente in deposito presso il Venditore salvo il caso in cui tali perdite o danni siano stati causati esclusivamente per dolo o colpa grave del Venditore. In tal caso comunque la responsabilità del Venditore sarà limitata al costo diretto di produzione di tali beni di proprietà dell’Acquirente (se prodotti dall’Acquirente o da società del suo gruppo) o dal costo di sostituzione (se prodotti da terzi), in ogni caso al netto del valore di recupero. L’Acquirente sarà responsabile per l’assicurazione dei propri beni e materiali contro perdite o danni non causati esclusivamente dal dolo o colpa grave del Venditore. Il Venditore non avrà in alcun caso alcuna responsabilità per perdita o danni a beni o materiali di proprietà dell’Acquirente derivanti da cause forza maggiore (come definita dal successivo art. 15).

15. Forza maggiore
In nessun caso il Venditore sarà ritenuto responsabile per eventuali inadempimenti alle proprie obbligazioni previste nel Contratto che derivino, direttamente o indirettamente, da o la cui causa sia costituita da circostanze a lui non imputabili.

16. Diritti di proprietà industriale
Il Venditore manterrà l’Acquirente indenne da legittimi reclami di terzi per violazione di brevetti validamente registrati causata da prodotti di fabbricazione propria del Venditore. Qualora, tuttavia, l’Acquirente richieda al Venditore determinate specificazioni per i Beni al Venditore, dovrà, poi, mantenere quest’ultimo indenne da eventuali reclami di terzi, di qualsiasi natura, derivanti da
o comunque relativi all’adattamento dei Beni a tali specificazioni. Gli obblighi del Venditore stabiliti nel presente paragrafo non riguardano e pertanto sono del tutto esclusi in caso di eventuali violazioni derivanti dall’utilizzo dei Beni come parte di beni prodotti dall’Acquirente o da terzi.

17. Cessione del Contratto
Salvo diverso accordo scritto, il Contratto ed i crediti da esso derivanti non sono cedibili.

18. Riservatezza
Salvo diverso accordo scritto, il Venditore e l’Acquirente si impegnano ad utilizzare la massima riservatezza nel trattare tutte le informazioni tecniche e/o commerciali o di altra natura di cui venga a conoscenza in occasione dell’esecuzione dell’ordine.

19. Cause di recesso
Il Venditore ha diritto di recedere dal Contratto in ogni momento, con effetto immediato e senza preavviso mediante comunicazione scritta in caso di: (a) inizio di un’azione o di un procedimento per la messa in liquidazione dell’Acquirente o per l’apertura di una qualsiasi procedura concorsuale a carico dell’Acquirente; (b) cessione dell’azienda (o di un ramo di essa) dell’Acquirente; (c) comunicazione scritta dell’Acquirente ove lo stesso dichiari di non essere in grado di far fronte alle proprie obbligazioni.

20. Privacy
Il Venditore ai sensi dell’Art. 13 Codice Privacy (D. Lgs. 19672003 consolidato) quale Titolare del trattamento informa l’Acquirente di quanto segue. Il Venditore tratta con mezzi informatici e manuali i dati personali forniti dall’Acquirente o acquisiti presso terzi nell’ambito della propria attività (“Dati”), nel rispetto del Codice Privacy, compreso il profilo della sicurezza. Il Venditore tratta i Dati per attività funzionali all’esecuzione delle presenti condizioni, incluse cessioni e trasferimento a terzi; per esercitare diritti in sede giudiziaria; per adempiere ad obblighi di legge, regolamento e normativa comunitaria. Conferire i Dati per adempiere obblighi legislativi e contrattuali è necessario ed il mancato conferimento rende impossibile per il Venditore l’esecuzione delle presenti
condizioni. I Dati sono accessibili al personale incaricato del trattamento ed al Responsabile del Venditore, se nominato. L’elenco aggiornato dei Responsabili e dei soggetti cui i Dati sono comunicati è conoscibile su richiesta al Venditore. I Dati sono comunicati a enti, autorità pubbliche (per i loro fini istituzionali), banche, istituti di credito, professionisti, collaboratori autonomi, anche in forma associata, terzi che svolgono servizi di carattere tecnico ed organizzativo di cui il Venditore si serve per l’esecuzione delle presenti condizioni, terzi interessati ad operazioni di fusione, acquisizione, cessione di azienda o ramo di azienda ed altre operazioni
straordinarie, ed ai legittimi destinatari ai sensi di legge. Tali soggetti trattano i Dati quali Titolari, Responsabili o incaricati del trattamento, a seconda del caso, per le finalità sopra specificate. L’Acquirente si può rivolgere al Venditore per far valere
in qualsiasi momento i diritti di cui all’art. 7 Codice Privacy, ad esempio ottenere conferma dell’esistenza o meno dei Dati, verificarne contenuto, origine ed esattezza, chiederne integrazione, aggiornamento, rettificazione, cancellazione, trasformazione in forma anonima, blocco per violazione di legge; opposizione per motivi legittimi al trattamento.

21. Autonomia delle clausole
Qualora una qualsiasi delle condizioni di cui al presente Contratto (o parte di una delle condizioni) fosse dichiarata invalida, illegittima o inefficace da parte di un qualsiasi tribunale o autorità competente, tale condizione o parte della condizione dovrà, nella misura in cui ciò è permesso, essere sostituita dalla clausola considerata valida che più si avvicini all’originaria intenzione delle parti o, ove ciò non fosse possibile, essere considerata come non più facente parte integrante del Contratto, senza in ogni caso che per questo motivo vengano intaccate la validità e l’efficacia delle altre condizioni.

22. Legge applicabile
Il Contratto è regolato dalla Legge Italiana.

23. Foro Competente
Per ogni controversia relativa all’interpretazione e/o esecuzione del Contratto sarà competente in via esclusiva il Foro di Milano.

1. DEFINICIONES
“La Sociedad” se refiere a Optimas OE Solutions SL o a la sociedad Optimas OE Solutions identificada en la parte frontal de este documento. “El Comprador” significa la persona, firma o empresa a los que la Sociedad suministrará los productos y servicios. “Productos” significa los productos, materiales y / u otros artículos que se suministrarán de conformidad con el Contrato. “Servicios” hace referencia a los servicios que se suministrarán de conformidad con el Contrato. “El Contrato” significa el contrato para la compraventa de Productos y la prestación de Servicios entre la Sociedad y el Comprador, tal como se describe en la propuesta a la que se aplican estas Condiciones.

2. ALCANCE
Estas condiciones se aplican a todas las ventas de Productos y prestaciones de Servicios por parte de la Sociedad y prevalecerán sobre cualesquiera otras condiciones a las que se haga referencia en el pedido del Comprador o en otra correspondencia, salvo acuerdo específico contrario por escrito por parte de la Sociedad y expresado en forma que pase a formar parte del Contrato, y cualesquiera otras condiciones o estipulaciones contrarias quedan excluidas o extinguidas por el presente.

3. PRESUPUESTO
Un presupuesto presentado por la Sociedad no constituye una oferta y la Sociedad se reserva el derecho de retirarlo o modificarlo en cualquier momento antes de la aceptación del pedido del Comprador por parte de la Sociedad.

4. PRECIOS
4.1. Salvo que se indique que los precios presupuestados son precios fijos, los precios de los Productos o Servicios serán los que la Sociedad esté cobrando en el momento del envío o prestación de los mismos, de modo que la Sociedad se reserva el derecho de revisar los precios presupuestados para reflejar incrementos del coste, incluyendo (sin limitaciones) los costes de la materia prima o de la mano de obra y cualquier variación que se produzca en los tipos de cambio.
4.2. Los precios presupuestados son “ex-works” y no incluyen IVA ni otros gravámenes fiscales que deban aplicarse a los Productos suministrados o a los Servicios por un Gobierno u otras autoridades.

5. CONDICIONES DE PAGO
5.1. Con sujeción a la Condición 5.5, salvo que se acuerde lo contrario por escrito, el pago de las facturas deberá hacerse de forma íntegra sin deducciones ni compensaciones de ningún tipo, en el plazo de 30 días a partir de la fecha de la factura.
5.2. En cualquier momento se podrá modificar o anular el crédito autorizado al Comprador.
5.3. La Sociedad tendrá derecho a reclamar intereses de conformidad con la Ley 3/2004, y resto de legislación aplicable.
5.4. Si, en opinión de la Sociedad, la solvencia del Comprador se ha deteriorado con anterioridad a la entrega, ésta podrá exigir el pago total o parcial de la factura antes de la entrega de los productos o la presentación de un aval que garantice el pago de la factura por parte del Comprador en una forma aceptable para la Sociedad.
5.5. En los casos en que el Comprador resida fuera de España y salvo que se acuerde lo contrario, el pago de los productos se garantizará mediante una carta de crédito irrevocable a satisfacción de la Sociedad que será emitida por el Comprador a favor de la Sociedad inmediatamente después de la recepción de la aceptación de la Sociedad y la confirmación de un banco del Comprador aceptable para la Sociedad. La carta de crédito será por el valor del contrato, incluyendo los impuestos o gravámenes que deberán ser pagados por el Comprador y será válida durante el periodo especificado por la Sociedad. La Sociedad podrá ejecutar el cobro contra presentación de los documentos especificados por la misma a dicho Banco.

6. ENTREGA
6.1. Las fechas que se indican en un presupuesto, en la aceptación o en cualquier otro documento, son meramente indicativas y no tienen ningún efecto contractual, y el plazo de entrega no se pondrá como condición indispensable mediante una notificación. La Sociedad no será en ningún caso responsable frente al Comprador con respecto a retrasos en la entrega que se produzcan por cualquier motivo.
6.2. En el caso de que el Comprador devolviera o se negara a aceptar una entrega de los Productos de conformidad con lo dispuesto en el Contrato, la Sociedad podrá optar, a su discreción, por facturar al Comprador dichos Productos o por entregar y facturar al Comprador los Productos pendientes de servir o bien suspender o cancelar las demás entregas en virtud de lo dispuesto en el Contrato. La Sociedad podrá almacenar a riesgo del Comprador los productos que éste se niegue a aceptar y el Comprador deberá pagar, además del importe de la factura, todos los gastos de dicho almacenamiento y otros gastos adicionales o de transporte incurridos como resultado de dicha negativa. Transcurrido un periodo de 3 meses después de la fecha en la que el pago debería de haberse realizado, la Sociedad podrá disponer de los Productos en el modo que crea conveniente.
6.3. Salvo que se especifique lo contrario, la entrega será “ex-works” de modo que se estimará que los productos han sido entregados y la responsabilidad de los mismos recae en el Comprador una vez que la Sociedad notifique al Comprador que los productos están listos y disponibles.
6.4. En los casos en que la entrega de los productos sea CIF o FOB o en base a cualquier otro término comercial internacional, se aplicará el significado de tales términos contenidos en los últimos Incoterms aprobados del mismo modo que si se contemplaran en el presente documento, salvo cuando exista inconsistencia con las disposiciones contenidas en estas Condiciones
6.5. En el caso de entrega FOB de los productos, la Sociedad no vendrá obligada a asumir ningún coste adicional diferente de los previstos en dicha norma de comercio internacional.
6.6. Salvo que se acuerde expresamente lo contrario, la sociedad puede efectuar la entrega en una o varias veces. Si la entrega se realiza en varias veces, cada entrega se procesará como un contrato separado.
6.7. Si el Contrato implica más de una entrega, y se produce algún impago, la Sociedad podrá suspender todas o algunas de las entregas pendientes de pago o rescindir el Contrato en su totalidad mediante notificación por escrito al Comprador.

7. EXPORTACIÓN
El Comprador declara y garantiza que no infringirá ninguna legislación de EE.UU., de la Unión Europea, ni la legislación local de ningún otro país relativa a la exportación en relación con los Productos.

8. RESERVA DE DOMINIO
8.1. Los productos serán propiedad de la Sociedad, como propietaria legal y usufructuaria hasta que haya recibido en fondos disponibles todos los importes pendientes en relación con (a) los Productos, y (b) todos los demás importes vencidos o pagaderos a la Sociedad por parte del Comprador por cualquier concepto.
8.2. Hasta que se realice dicho pago, el Comprador tendrá la posesión de los productos únicamente como depositario para la Sociedad y en capacidad de fiduciario y el Comprador almacenará los productos de manera que pueda identificarlos como propiedad de la Sociedad.
8.3. La Sociedad se reserva el derecho de volver a tomar la posesión de los productos cuyo título de propiedad haya conservado según lo anteriormente indicado y de volver a venderlos, y a estos efectos el Comprador por el presente otorga un derecho y licencia irrevocables a los empleados y agentes de la Sociedad para entrar en sus locales con o sin vehículos durante las horas normales de oficina. El derecho persistirá sin perjuicio de la resolución del Contrato por cualquier motivo y sin perjuicio de los derechos que se deriven para la Sociedad.
8.4. El Comprador acepta inmediatamente, a petición de la Sociedad, ceder a ésta todos los derechos que el Comprador pueda tener frente a sus clientes por subventas de Productos hasta que se haya realizado la totalidad del pago.
8.5. Sin perjuicio de las anteriores disposiciones de esta Condición 8, el Comprador estará autorizado a utilizar los Productos en el transcurso normal de su actividad.

9. VARIACIONES
Se considerará que la Sociedad ha cumplido con sus obligaciones contractuales con respecto a cualquier entrega aunque exista una diferencia de un diez por ciento en más o en menos de la cantidad especificada en el Contrato. En tal caso el Comprador pagará por la cantidad que se haya entregado realmente.

10. ESPECIFICACIONES DEL COMPRADOR
El Comprador mantendrá indemne a la Sociedad frente a todo tipo de reclamaciones, costes, daños y gastos incurridos por ésta o por los que la Sociedad pueda ser responsable como resultado directo o indirecto de la realización de los trabajos que tengan que hacerse a los productos de conformidad con los requisitos de las especificaciones del Comprador y que impliquen un incumplimiento, reclamación o infracción de derechos de propiedad intelectual de otra persona, firma o sociedad.

11. RESPONSABILIDAD
11.1. No existirá responsabilidad para la Sociedad por defectos visibles o no conformidades y/o por haber entregado una cantidad inferior si no recibe una reclamación escrita del Comprador en el plazo de 7 días después de la entrega de los Productos. Cuando la Sociedad acepte responsabilidad por haber entregado menos cantidad de la acordada, su única obligación será complementar dicha entrega hasta entregar la cantidad acordada.
11.2. La Sociedad garantiza que (con sujeción a otras disposiciones contenidas en estas Condiciones), durante un periodo de 12 meses (o, en el caso de software, 30 días) a partir de la entrega, los Productos estarán libres de defectos materiales y de mano de obra de conformidad con las especificaciones facilitadas por el fabricante de los Productos.
11.3. La Sociedad prestará los Servicios con un cuidado y unas habilidades razonables.
11.4. La Sociedad no garantiza que el software vaya a funcionar de manera ininterrumpida, ni que vaya a estar libre de errores.
11.5. Las garantías de la Condición 11.2 no cubren el desgaste producido por el uso habitual y no serán aplicables a los Productos que hayan sido objeto de mal uso o abuso, negligencia, accidente, daños, o almacenamiento, instalación o mantenimiento inadecuados.
11.6 Con sujeción a las Condiciones 11.4 y 11.5, si los Productos no cumplen con las garantías establecidas en la Condición 11.2 la Sociedad podrá, a su elección, sustituir o reparar dichos Productos sin coste o devolver el precio de los mismos a condición de que, si la Sociedad así lo solicita, el Comprador deberá, a su cargo, devolver a la Sociedad los Productos o la parte de ellos que sean defectuosos. La única acción del Comprador en caso de incumplimiento por parte de la Sociedad de las garantías establecidas en la Condición 11.2 será solicitar la reparación, sustitución o reembolso (en todos los casos a elección de la Sociedad). El Comprador se dirigirá exclusiva y directamente contra el fabricante de los Productos cuando así se lo solicite la Sociedad. Todos los Productos reparados o sustituidos estarán garantizados por estas condiciones durante el periodo no vencido de los 12 meses.
11.7. Sin perjuicio de la reparación o sustitución de los Productos, la responsabilidad total máxima de la Sociedad (incluyendo responsabilidad por actos u omisiones de sus empleados, agentes y subcontratistas) frente al Comprador por responsabilidad extracontractual (ya sea por negligencia o incumplimiento de obligaciones legales) incumplimiento de contrato, declaración falsa, restitución, o de otro modo, no podrá, en ningún caso, sobrepasar el 100% del coste de los Productos en cuestión o el 100% del coste de los servicios correspondientes, que den lugar a dicha responsabilidad, tal como queda establecido por el precio neto facturado al Comprador.
11.8. La Sociedad no será responsable ante el Comprador de lucro cesante, pérdida de negocio ni reducción del fondo de comercio en ningún caso, ya sea directo, indirecto o emergente, así como tampoco de reclamaciones de ningún tipo por indemnizaciones (sea cual sea la causa) que se deriven del Contrato, tanto si dicha pérdida o reclamación era previsible como si no, y tanto si se deriva o ha sido causada por incumplimiento de contrato, responsabilidad civil (incluyendo negligencia e incumplimiento de obligación), indemnidad, etc.
11.9. Con sujeción a lo anterior, todas las condiciones, garantías, declaraciones y otros términos expresados o implícitos por la ley, la jurisprudencia u otra legislación quedan, por el presente excluidos, en la medida permitida por la ley.
11.10. Ni la presente Condición 11 ni el resto del Contrato excluyen o limitan la responsabilidad de la Sociedad (a) por fallecimiento o lesiones causadas por negligencia de la Sociedad; o (b) por cualquier asunto por el que la Sociedad no pueda legalmente excluir su responsabilidad; o (c) por fraude o declaración falsa.

12. LICENCIAS Y CONSENTIMIENTOS
12.1. El Contrato está condicionado a la obtención de todas las licencias o los consentimientos necesarios para su cumplimiento (salvo para la importación de los Productos por parte del Comprador) en relación con lo cual el Comprador deberá firmar todos los impresos y los documentos necesarios, así como prestar a la Sociedad la asistencia que convenga.
12.2. El Comprador obtendrá, a su coste, las licencias o consentimientos necesarios para la importación de los Productos por parte del Comprador, y si fuera necesario o así se requiriera, presentará pruebas de los mismos a la Sociedad a petición.

13. MATERIALES PROPIEDAD DEL COMPRADOR
La propiedad y el riesgo de pérdida de los materiales propiedad del Comprador que están en posesión de la Sociedad pertenecerán al Comprador. La Sociedad no será responsable de pérdidas ni daños a los materiales propiedad del Comprador a menos que hayan sido resultado únicamente de la negligencia de la Sociedad. El pago por parte de la Sociedad por dicha pérdida o daños se limitará al coste de fabricación directa de los materiales propiedad del Comprador (producidos por el Comprador o por sus filiales), o al coste de sustitución (si fue adquirido a un tercero), en cualquier caso menos el valor residual. El Comprador será responsable de asegurar sus materiales contra pérdida o daños no causados únicamente por la negligencia de la Sociedad. La Sociedad no asume ninguna responsabilidad por pérdida o daños a los materiales propiedad del Comprador por circunstancias de fuerza mayor (según se define
en la Condición 14.2).

14. FUERZA MAYOR
14.1. La Sociedad no será responsable frente al Comprador de las pérdidas o daños que pudiera sufrir el Comprador como resultado directo o indirecto de que se impida, obstaculice o retrase el suministro de Productos o Servicios por motivo de fuerza mayor.
14.2. En esta condición “circunstancias de fuerza mayor” significará desastres naturales, disturbios, huelga, cierre patronal, disputa mercantil o disturbios laborales, avería accidental de maquinaria, incendio, inundación, dificultad para conseguir mano de obra, material o transporte u otras circunstancias de cualquier tipo que queden fuera del control de la Sociedad y afecten el suministro de los Productos por la fuente principal de suministro de la Sociedad, la fabricación de los Productos por los medios habituales de la Sociedad o la entrega de los Productos por la ruta o el medio habitual de la Sociedad.

15. RESOLUCION
Si el Comprador firma un acuerdo de quita y espera, entra en concurso de acreedores, o si se dicta contra éste una orden de administración de bienes o (siendo una sociedad) se aprobara la resolución o el Juzgado dictaminara la liquidación del Comprador (salvo a los efectos de fusiones o reconstrucciones) o si se nombrara un administrador concursal para activos o empresas del Comprador o se produjeran circunstancias que autorizaran a un juzgado o a un acreedor a nombrar a administrador concursal o que autorizaran a un Juzgado a emitir una orden de disolución, o si el Comprador iniciara o sufriera una acción similar como consecuencia de deudas o cometiera un incumplimiento de alguna parte de éste o de cualquier otro contrato entre la Sociedad y el Comprador, la Sociedad podrá detener Productos en tránsito y suspender posteriores entregas y mediante notificación escrita al Comprador, podrá,
inmediatamente, resolver el Contrato sin perjuicio de las disposiciones de la Condición 5.3 del presente y de las reclamaciones existentes.

16. RENUNCIA
El hecho de que alguna de las partes del Contrato no ejerza alguno de sus derechos derivados del presente Contrato no se interpretará como una renuncia a dichos derechos, ni funcionará como una prohibición del ejercicio de dichos derechos en cualquier momento posterior.

17. NOTIFICACIONES
Toda notificación que deba entregarse por escrito con motivo del presente se considerará debidamente enviada si se envía por correo urgente a portes pagados dirigido a la parte interesada a su sede social o a su última dirección conocida.

18. TÍTULOS
Los títulos de estas Condiciones se han introducido para facilitar su lectura y no afectarán la interpretación del presente.

19. INDEPENDENCIA DE LAS CLÁUSULAS
En el caso de que algún juzgado u otra autoridad de jurisdicción competente considerara que alguna Condición del contrato (o alguna parte de una Condición) es inválida, ilegal o no se puede ejecutar, dicha se considerará que dicha Condición o dicha parte de una Condición, en la medida que sea necesario, no forma parte del Contrato, y la validez y ejecutabilidad de las demás Condiciones no se verán afectadas por ello.

20. LEY APLICABLE
El Contrato se regirá y se interpretará de conformidad con la ley española y a los efectos de resolver conflictos derivados del Contrato las partes por el presente se someten a la exclusiva jurisdicción de los tribunales españoles.

21. TIPO DE OPERACIONES DE VENTA
Estas Condiciones Generales de Venta no son aplicables a transacciones electrónicas o realizadas a través de internet. Las páginas web utilizadas por el Comprador para realizar dichos pedidos electrónicos tienen sus propias condiciones de venta.

1. TANIMLAR
“Şirket,”, Optimas OE Solutions Bağlantı Sistemleri Satış Ticaret Limited Şirketi “Alıcı”, Şirket tarafından mal ve hizmetlerin tedarik edileceği şahıs, firma veya şirket anlamına gelmektedir. “Mallar”, Sözleşme uyarınca tedarik edilecek mallar, malzemeler ve/veya diğer unsurlar anlamına gelmektedir. “Hizmetler”, Sözleşme uyarınca tedarik edilecek hizmetler anlamına gelmektedir. “Sözleşme”, işbu Genel Çalışma Şartları ve Koşullarının geçerli olduğu, Şirket ve Alıcı arasında akdedilmiş, Malların satışına ve satın alınmasına ve Hizmetlerin tedarikine ilişkin sözleşme anlamına gelmektedir.

2. KONU
Đşbu Genel Çalışma Şartları ve Koşulları, Şirket tarafından gerçekleştirilecek tüm Mal satışı ve Hizmet tedariki için geçerli olup, Şirket tarafından özellikle yazılı olarak kabul edilmediği ve Sözleşmenin bir parçasını teşkil ettiği açıkça belirtilmediği sürece, Alıcının siparişinde veya yazışmalarda yahut herhangi bir başka yerde atıfta bulunulan her nevi şart ve koşullar üzerinde hakim gelecek olup,
aksi yöndeki her nevi şartlar veya taahhütler bu vesileyle kapsamdan hariç tutulmakta veya itfa edilmektedir.

3. FĐYAT BELĐRLEME
Şirket tarafından sunulan fiyat belirleme bir icap niteliğinde olup, Şirket, Alıcının siparişini kabul etmeden önceki herhangi bir zamanda belirtilen fiyatları geri çekme veya değiştirme hakkını saklı tutar

4. FĐYATLAR
4.1. Belirlenen fiyatların sabit fiyatlar olduğu belirtilmediği sürece, Mallar veya Hizmetler için ödenmesi icap eden fiyatlar, Şirket tarafından sevkiyat veya Hizmetlerin tedariki sırasında uygulanan fiyatlar olacaktır böylece Şirket, tahmini olarak verilen fiyatları (herhangi bir sınırlama olmaksızın) ham madde veya işgücü maliyetleri ve döviz kurlarındaki her nevi değişiklik dahil olmak üzere,
maliyetlerdeki artışı hesaba katarak dilediği zaman revize etme hakkına sahip olacaktır -.
4.2. Mallar için belirlenen fiyatlar ‘işletmede teslim’ esasında olup, Katma Değer Vergisini ve herhangi bir Devlet/Hükümet veya diğer otorite tarafından Mallara veya Hizmetlere tarh edilen diğer gümrük vergilerini veya vergileri içermemektedir.

5. ÖDEME KOŞULLARI
5.1. Taraflar arasında aksi yönde yazılı olarak mutabık olunmadığı sürece, Alıcı, Malların satış fiyatını faturada belirlendiği üzere ABD Doları veya Euro cinsinden ödeyecektir.Tarafların, ödemenin Türk Lirası olarak yapılması hususunda yazılı olarak mutabık oldukları durumlarda, faturada ABD Doları veya Euro cinsinden belirtilen her nevi meblağ, ödeme tarihi itibariyle Türkiye Cumhuriyeti Merkez
Bankası tarafından tatbik edilen satış kuru esas alınarak Türk Lirasına çevrilecektir. Fatura ödemeleri, aksi yönde yazılı olarak mutabık olunmadığı sürece, hiçbir kesinti veya mahsup olmaksızın, fatura tarihinden itibaren 30 gün içerisinde yapılacaktır.
5.2. Alıcıya sağlanan her nevi alacağın vadesinin uzatılması herhangi bir zamanda değiştirilebilecek veya geri alınabilecektir.
5.3. Alıcının, faturanın toplam meblağını 30 günlük bir süre içerisinde ödeyememesi halinde, Şirket, ödenmemiş bakiye üzerinde ABD Doları cinsinden %1 oranında veya Türkiye Cumhuriyeti kanunlarınca cevaz verilen daha yüksek bir faiz oranı oranında temerrüt faizi alma hakkına sahip olacaktır.
5.4. Şirket tarafından gönderilen, 8 gün içerisinde itiraz edilmeyen faturalar kabul edilmiş addedilecektir.
5.5. Şirketin nazarında, Alıcının kredibilitesinin teslimat öncesinde bozulacak olması halinde, Şirket, teslimat öncesinde bedelin tümünün veya bir kısmının ödenmesini veya ödeme için Alıcı tarafından Şirket için kabul edilebilir bir şekle sahip bir teminat sunulmasını gerekli görebilecektir.

6. TESLĐMAT
6.1. Herhangi bir fiyat teklifi veya kabul formunda veya herhangi bir başka yerde belirtilmekte olan teslimat veya ifa tarihleri sadece yaklaşık olmakla birlikte, hiçbir akdi geçerliliğe sahip olmayıp, teslimat zamanı bildirimde bulunmaksuretiyle gerçekleştirilmeyecektir. Şirket, her ne şekilde doğarsa doğsun, teslimattaki hiçbir gecikme ile ilgili olarak Alıcıya karşı hiçbir mesuliyet altında olmayacaktır.
6.2. Alıcının Malları iade etmesi veya Malların Sözleşme uyarınca herhangi bir teslimatını kabul edememesi durumunda Şirket, bu tür Malları kendi tercihi doğrultusunda, Alıcıya fatura etme ve teslim etme ve o sırada teslim edilmemiş Mallara ilişkin bakiyeyi Alıcıya fatura etme veya Sözleşme kapsamındaki ileriki teslimatları askıya alma veya iptal etme hakkına sahip olacaktır. Şirket, Alıcının
geri çevirdiği veya kabul edemediği her nevi Malları, ilgili riskleri Alıcıya ait olacak şekilde depolama hakkına sahip olacak ve Alıcı, fatura bedeline ilaveten bu tür tüm depolama giderlerini veya bahse konu geri çevirme veya teslim alamama sonucunda altına girilen her nevi ilave giderleri veya nakliye ücretlerini ödeyecektir. Şirket, bedelin muaccel hale geldiği tarihi müteakip 3 ayın sonunda, Malları kendisince belirlenebilecek şekilde elden çıkarma hakkına sahip olacaktır.
6.3. Aksi belirtilmediği sürece teslimat, Şirketin Alıcıya Malların teslim alınmak üzere hazır bulunduğu yönünde bildirimde bulunmasına müteakiben Malların teslim edilmiş olduğu ve Mallara ilişkin riskin Alıcıya geçmiş olduğu addedilecek
şekilde ‘işletmede teslim’ (ex-works) esasında olacaktır.
6.4. Malların CIF (Mal Bedeli+Sigorta+Navlun) veya FOB (Güvertede Teslim) yahut herhangi bir diğer uluslararası ticaret terimi esasıyla satıldığı her durumda, bahse konu terimlerin en güncel Incoterms içerisinde yer alan anlamı, Incoterms’in herhangi bir kısmının işbu Genel Çalışma Şartları ve Koşullarında yer alan diğer hükümlere aykırılık teşkil etmediği takdirde, işbu belgenin kapsamına açıkça dahil edilmiş gibi geçerli olacaktır.
6.5. Aksi açıkça kabul edilmediği sürece, Şirket teslimatı bir veya daha fazla sayıda taksit halinde gerçekleştirebilecektir. Teslimatın taksitli olarak gerçekleştirildiği durumlarda, her bir takside ayrı bir sözleşme şeklinde muamele edilecektir.
6.6 Sözleşmenin birden fazla teslimatı kapsaması ve ödemede herhangi bir temerrüde düşülmesi halinde, Şirket, ödeme bekleyen tüm veya ileriki her nevi teslimatları askıya alma veya Alıcıya yazılı bildirimde bulunmak suretiyle Sözleşmeyi bütünü itibariyle fesih etme hakkına sahip olacaktır.

7. ĐHRACAT
Alıcı, Mallar ile ilgili olarak Amerika Birleşik Devletleri’nin, Avrupa Birliği’nin veya herhangi bir diğer ülkenin geçerli yerel ihracat ile ilgili kanunlarını ihlal etmeyeceğini beyan ve taahhüt etmektedir.

8. MÜLKĐYET HAKKI
8.1. Mallar, Şirketin, (a) Mallar ile ilgili olarak muaccel olan tüm alacakları ve (b) Şirket’in Alıcı’dan her ne türden olursa olsun muaccel olan veya muaccel hale gelen diğer tüm alacaklarının tam olarak ödenmiş olduğu tarihe kadar kanuni ve intifa hakkı sahibi olarak Şirketin tek ve mutlak mülkiyetinde kalacaklardır.
8.2. Bahse konu ödeme yapılana kadar Alıcı, Malları sadece Şirketin emanetçisi olarak ve emanetçi sıfatıyla zilyetliğinde bulunduracak olup, Alıcı, Malları Şirketin malları olarak saptanabilmelerine imkan verecek bir şekilde depolayacaktır.
8.3. Şirket, yukarıda belirtildiği üzere mülkiyet hakkını elinde bulundurduğu her nevi Malların derhal yeniden zilyetliğine alma ve akabinde yeniden satma hakkını saklı bulundurmakta olup, bu amaç doğrultusunda Alıcı bu vesileyle, Şirketin çalışanlarına ve aracılarına/vekillerine normal çalışma saatleri sırasında kendisinin tüm tesislerine veya herhangi bir tesisine araçlı veya araçsız olarak girmek üzere gayrikabili rücu bir hak ve izin bahşetmektedir. Söz konusu hak, Sözleşme’nin herhangi bir sebepten dolayı feshine bakılmaksızın varlığını sürdürmeye devam edecek olup, Şirketin doğmuş hiçbir hakkına halel getirmemektedir.
8.4. Alıcı, Şirket tarafından bu yönde talepte bulunulmasına müteakiben derhal, Şirketin kendi müşterilerine karşı sahip olabileceği, Malların tali satışından doğan tüm haklarını ve hak taleplerini, ödeme tam olarak yerine getirilinceye değin Şirkete devir ve temlik etmeyi kabul etmektedir.
8.5. Đşbu 8.Maddenin yukarıda belirtilen diğer hükümlerine bakılmaksızın, Alıcı Malları kendi ticari faaliyetinin olağan seyrinde kullanma hakkına sahip olacaktır.

9.DEĞĐŞKENLĐKLER
Şirket, Sözleşmede belirtilmekte olan miktarın yüzde on fazlasına veya altına kadarki miktarla, herhangi bir teslimat ile ilgili olarak akdi yükümlülüklerini yerine getirilmiş addedilecek olup, bu durumda Alıcı fiili olarak teslim edilmiş miktar için ödeme yapacaktır.

10. ALICININ ŞARTNAMESĐ
Alıcı, her nevi ihlali veya hak talebini yahut herhangi bir başka şahsa, firmaya veya şirkete ait olan her nevi fikri mülkiyet hakkının ihlalini kapsayan, Alıcının şartnamesinin gereklilikleri gereğince Mallar üzerinde veya Mallar bakımından yapılması gereken her nevi çalışmanın yürütülmesinin doğrudan veya dolaylı olarak sonucunda Şirketin altına girdiği yahut Şirketin mesul hale geldiği tüm hak talepleri, giderler, zararlar ve masraflar karşısında Şirketi tazmin edecek ve Şirketin tazmin edilmesini sağlayacaktır.

11. YÜKÜMLÜLÜK
11.1. Şirket, Alıcından Malların teslimatından itibaren 7 gün içerisinde yazılı bir hak talebi tesellüm etmediği sürece, teslim edilen Mallardaki görünür hiçbir ayıptan veya uygunsuzluk halinden ve/veya teslim edilen miktardaki hiçbir eksiklikten sorumlu olmayacaktır. Herhangi bir eksiklik ile ilgili olarak Şirketin mesuliyet kabul ettiği durumlarda, Şirketin bu husustaki tek yükümlülüğü bu tür eksikliği düzeltmek olacaktır.
11.2. Şirket, (işbu Genel Çalışma Şartları ve Koşullarının diğer hükümlerine tabi olarak) teslimattan itibaren 12 aylık (veya yazılım durumunda 30 günlük) bir süre boyunca Malların malzeme ve işçilik bakımından esaslı ayıplardan ari ve esas itibariyle Malların imalatçısı tarafından sağlanan koşullar uyarınca olacağını taahhüt etmektedir.
11.3. Şirket, Hizmetleri makul ölçülerde beceri ve itina ile icra edecektir.
11.4. Şirket, yazılımın kesintisiz veya hatasız olarak çalışacağı yönünde hiçbir taahhütte bulunmamaktadır.
11.5. 11.2 sayılı Maddede yer almakta olan taahhütler/garantiler aşınma ve yıpranmayı kapsamamakta olup, amaç dışı kullanıma veya kötü kullanıma, ihmale, kazaya, hasara, yanlış depolamaya, yanlış kuruluma veya bakıma maruz kalmış Mallar için geçerli olmayacaktır.
11.6 11.4 ve 11.5 sayılı Maddelere tabi olarak, Malların 11.2 sayılı Maddede yer alan taahhütler/garantiler ile uygunluk dahilinde olmaması halinde Şirket; kendi tercihi doğrultusunda bahse konu Malları ücretsiz olarak değiştirecek veya onaracak yahut Şirketin bu yönde bir talepte bulunması halinde Alıcının, masrafları Alıcıya ait olmak üzere ayıplı Malları veya bahse konu Malların ayıplı kısmını Şirkete iade edecek olması koşuluyla bahse konu Malların bedelini geri ödeyecektir. Alıcının, Şirketin 11.2 sayılı Madde kapsamındaki taahhütleri/garantileri ihlaline ilişkin münhasır çare yolu Şirketin onarma, değiştirme veya bedelini geri ödeme (her durumda Şirketin tercihi doğrultusunda) yükümlülüğü olacaktır. Alıcı, Şirketin talebi üzerine münhasıran ve doğrudan Malların imalatçısına karşı yasal işlem başlatacaktır. Her nevi onarılmış veya değiştirilmiş Mallar, 12 aylık sürenin sona ermemiş kısmı boyunca işbu koşullar esasında garanti kapsamında olacaktır.
11.7 Onarıma veya Malların değiştirilmesine halel getirmeksizin, Şirketin Alıcıya karşı olan, ister haksız fiilden (çalışanlarının, mümessillerinin ve alt yüklenicilerinin yasal yükümlülüğü ihmallerii veya kasten ihlallerii dahil olmak üzere), akdin ihlalinden (Şirketin ihmali veya yasal yükümlülüklerini kasten , ihlali dahil olmak üzere), gerçeğe aykırı beyandan, istirdattan yahut sair şekildeki azami toplam mesuliyeti (çalışanlarının, aracılarının/vekillerinin ve alt yüklenicilerinin eylemlerine veya ihmallerine ilişkin her nevi mesuliyet dahil olmak üzere) hiçbir durumda, bahse konu mesuliyete sebebiyet veren ilgili Malların, Alıcıya fatura edilen net bedel ile tespit edilen maliyetinin %100’sini veya ilgili Hizmetlerin %100’sini aşmayacaktır.
11.8. Şirket, her bir durumda ister doğrudan, dolaylı ister sonuca bağlı olsun Alıcıya karşı kar kaybı, iş kaybı veya şerefiyenin/firma değerinin tüketilmesi dolayısıyla yahut bahse konu kayıp veya hak talebi önceden görülür yahut tarafların tasavvurunda olsun veya olmasın ve akdin ihlalinden, haksız fiilden (ihmal ve yasal yükümlülüğünün ihlali de dahil olmak üzere), tazminattan veya sair şekilde doğsun veya bunlar sebebiyle oluşsun, Sözleşmeden veya Sözleşme ile bağlantılı olarak doğan her ne türden olursa olsun hiçbir sonuca bağlı/dolaylı tazminattan sorumlu olmayacaktır.
11.9. Đşbu 11.Maddede veya Sözleşmenin başka bir kısmında yer alan hiçbir husus, Şirketin (a) Şirketin ihmalinin sebebiyet verdiği ölüm veya bedensel yaralanmadan dolayı olan veya (b) Şirket için kendi mesuliyetini hariç tutmanın veya hariç tutmaya çalışmanın hukuka aykırı olacağı her nevi konudan dolayı olan veya (c) dolandırıcılıktan veya hileli yanlış beyandan dolayı olan mesuliyetini hariç tutmamakta veya sınırlandırmamaktadır.

12. ĐZĐNLER VE ONAYLAR
12.1. Sözleşme, sözleşmenin ifası için gerekli olan tüm izinlerin veya onayların (Alıcı tarafından Malların ithal edilmesi için gerekli olanlar haricindeki) alınması Alıcının bu doğrultuda gerekli tüm formları ve belgeleri imza edeceği ve gerektiği takdirde Şirkete benzer yardımları temin etmesi şartına bağlıdır.
12.2. Alıcı, Malların kendisi tarafından ithal edilmesi için gerekli her nevi izni veya onayı ilgili masrafları kendisine ait olacak şekilde alacak ve gerekli olması veya bu yönde talep edilmesi halinde bahse konu her nevi iznin veya onayın kanıtını talep üzerine Şirkete ibraz edecektir.

13. ALICININ MALĐKĐ OLDUĞU MALZEMELER
Alıcının maliki olduğu ancak Şirketin zilyetliğinde bulunan malzemelerin mülkiyet hakkı ve kayıp riski Alıcıda olmaya devam edecektir. Şirket, sadece Şirketin ihmali sebebiyle oluşmadığı sürece, Şirket tarafından depolanan Alıcının maliki olduğu malzemelerin her nevi kaybından veya hasarından dolayı sorumlu olmayacaktır. Şirket tarafından bu tür kaybın veya hasarın ödenmesi, her iki durumda da hurda değeri düşüldükten sonra, Alıcının maliki olduğu malzemelerin doğrudan üretim maliyeti (Alıcı veya Alıcının bağlı kuruluşları tarafından imal edilmesi halinde) veya değiştirme maliyeti (üçüncü bir taraftan satın alınmış olması halinde) ile sınırlı olacaktır.Alıcı, kendi malzemelerini sadece Şirketin ihmalinin sebebiyet vermediği bilcümle kayıp ve hasarlara karşı sigortalamaktan sorumlu olacaktır. Şirket, Alıcının maliki olduğu malzemelerdeki, herhangi bir mücbir sebep halinin (aşağıdaki 14.2 sayılı Maddede tanımlanmakta olduğu üzere) sebebiyet verdiği kayıplardan veya hasardan dolayı hiçbir mesuliyet üstlenmemektedir.

14. KESĐN DELĐL
Taraflarca işbu belge çerçevesinde üretilecek her nevi alındılar/makbuzlar ve faturalar dahil olmak üzere, taraflar arasındaki her nevi iletişimler ve bildirimler, her nevi raporlar, faks mesajları ve de Şirketin kayıtları ve belgeleri, 1086 sayılı Hukuk Usulü Muhakemeleri Kanunu’nun 287.Maddesinin hükümleri çerçevesinde Taraflar arasında münhasır ve kesin delil teşkil edecektir.

15. MÜCBĐR SEBEP
15.1. Şirket, Alıcıya karşı, Malların veya Hizmetlerin tedarikinin Şirket tarafından herhangi bir mücbir sebep hali sebebiyle engellenmesi, aksatılması veya geciktirilmesinin doğrudan veya dolaylı sonucu olarak Alıcının uğrayabileceği hiçbir kayıp veya zarardan mesul olmayacaktır.
15.2. Đşbu Madde kapsamındaki ‘mücbir sebep hali’, her nevi doğal afetler, isyanlar, grevler, lokavtlar, sendika-işveren veya işçi-işveren anlaşmazlıkları, kazalar, tesis veya fabrika arızaları, yangınlar, seller, işçi, malzeme veya nakliye bulmadaki zorluklar veya her ne türden olursa olsun Şirketin kontrolü dışındaki, Malların veya dolayısıyla da ham maddelerin Şirketin olağan tedarik kaynağı vasıtasıyla tedarikine yahut Malların Şirketin normal imkan ve yöntemleri ile imal edilmesine yahut Malların Şirketin normal teslimat rotası veya yöntemleriyle teslimatına tesir eden diğer koşullar anlamına gelecektir.

16. FESĐH
Alıcının alacaklılarıyla anlaşma yoluna gitmesi veya iflas talebinde bulunması yahut alacaklılarıyla birleşmesi veya Alıcıya karşı bir ihtiyari haciz emri verilmesi veya (şirket olarak) tasfiye kararı alması veya Mahkemenin Alıcının tasfiyesine karar vermesi (şirketlerin birleşmesi veya yeniden yapılanma amaçları doğrultusunda olması dışında) yahut Alıcının varlıklarından herhangi birine veya işletmesine bir tasfiye memurunun, kayyumun veya idareci kayyumun tayin edilmesi yahut Mahkemeye veya bir alacaklıya bir tasfiye memuru, idareci veya kayyum tayin etme hakkı veren veya Mahkemeye infisah emrine hükmetme hakkı veren koşulların ortaya çıkması yahut Alıcının borç sonucunda benzer bir eyleme bulunması veya benzer bir eyleme maruz kalması veya Şirket ile Alıcı arasında akdedilmiş işbu veya herhangi bir diğer sözleşmenin bir parçasını herhangi bir şekilde ihlal etmesi halinde, Şirket, transit halindeki / nakledilmekte olan her nevi Malları durdurabilecek ve ileriki teslimatları askıya alabilecek ve Alıcıya yazılı bildirimde bulunmak suretiyle, 5.3 sayılı Maddenin hükümlerine ve mevcut hak talebine halel getirmeksizin Sözleşmeyi derhal fesih edebilecektir.

17. FERAGAT
Sözleşmenin taraflarından herhangi birinin, Sözleşmenin bahşettiği haklardan herhangi birini tatbik veya icra etmemesi herhangi bir haktan feragat olarak addedilmeyecek veya bahse konu hakkın herhangi bir zamanda veya daha sonraki zamanlarda tatbikini veya icrasını engeller şekilde işlemeyecektir.

18. BĐLDĐRĐMLER
Đşbu Genel Çalışma Şartları ve Koşulları kapsamında tebliğ edilmesi gereken her nevi bildirim, ilgili tarafın ticaret merkezine veya bilinen son adresine hitaben önceden ödenmiş birinci sınıf posta veya faks vasıtasıyla gönderilmesi halinde usulüne uygun olarak tebliğ edilmiş addedilecektir.

19. BAŞLIKLAR
Đşbu Genel Çalışma Şartları ve Koşullarının başlıklarına sadece başvuru kolaylığı sağlamak amacıyla yer verilmiş olup, bahse konu başlıklar işbu Genel Çalışma Şartları ve Koşullarının yorumuna tesir etmeyeceklerdir.

20. BÖLÜNEBĐLĐRLĐK
Sözleşmenin herhangi bir Maddesinin (veya herhangi bir Maddenin bir parçasının) herhangi bir mahkeme veya yargı yetkisine sahip diğer otorite tarafından geçersiz, hukuka aykırı veya icra mevkiinden yoksun olduğunun tespit edilmesi halinde bahse konu Maddenin veya Madde kısmının, gerekli olduğu ölçüde, Sözleşmenin bir parçasını teşkil etmediği addedilecek olup, diğer Maddelerin geçerliliği ve icra mevkii bu durumdan tesir görmeyecektir.

21. UYGULANACAK HUKUK
Đşbu Sözleşme, Türkiye Cumhuriyeti’nin işbu sözleşmenin akdedildiği tarih itibariyle geçerli ve yürürlükte olan kanunlarınca idare edilecektir. Đşbu Sözleşme ve işbu sözleşme kapsamındaki sevkiyatlar ile ilgili her nevi uyuşmazlık, Đstanbul Mahkemelerinin ve Đcra Dairelerinin/Müdürlüklerinin yargı yetkisinde olacaktır.

22. SATIŞ ĐŞLEMĐ TĐPĐ
Đşbu Genel Çalışma Şartları ve Koşulları elektronik işlemler veya internet işlemleri için geçerli değildir.Alıcı tarafından elektronik siparişler girmek üzere kullanılan web siteleri, kendilerine özgü genel çalışma şartlarını ve koşullarını içermektedirler.

1. DEFINITIONS
“The Company” means Optimas OE Solutions Limited or the Optimas entity otherwise identified on the face of this document.
“The Purchaser” means the person, firm or company to be supplied with the goods and services by the Company. “Goods” means the goods, materials and/or other items and any Services to be supplied pursuant to the Contract. “Services” means the services to be supplied pursuant to the Contract. “The Contract” means the contract for sale and purchase of the Goods and supply of the Services made between the Company and the Purchaser to which these Conditions apply.

2. SCOPE
These Conditions apply to all sales of Goods and supplies of Services by the Company and shall prevail over any terms or conditions referred to in the Purchaser’s order or in correspondence or elsewhere unless specifically agreed to in writing by the Company and expressed to form part of the Contract and any conditions or stipulations to the contrary are hereby excluded or extinguished.

3. QUOTATION
A quotation by the Company does not constitute an offer and the Company reserves the right to withdraw or amend the same at any time prior to the Company’s acceptance of the Purchaser’s order.

4. PRICES
4.1. Unless the prices quoted are stated to be fixed the prices payable for the Goods or Services shall be those charged by the Company at the time of despatch or supply of the Services so that the Company shall have the right at any time to revise quoted prices to take account of increases in cost including (without limitation) costs of raw materials or labour and any variation in exchange rates.
4.2. Quoted prices for the Goods are “ex-works” and exclusive of Value Added Tax and other duty levy or tax assessed against the Goods or Services by any Government or other authority.

5. TERMS OF PAYMENT
5.1. Subject to Condition 5.5 below payment of invoices shall, unless otherwise agreed in writing, be made in full without any deduction or set off within 30 days of the date of invoice.
5.2. Any extension of credit allowed to the Purchaser may be changed or withdrawn at any time.
5.3. The Company may claim interest upon late payments in accordance with the law and further recover from the Purchaser all reasonable costs incurred in recovering late payments.
5.4. If in the opinion of the Company the creditworthiness of the Purchaser shall have deteriorated prior to the delivery the Company may require full or partial payment of the price prior to delivery or the provision of security for payment by the Purchaser in a form acceptable to the Company.
5.5. In any case where the Purchaser is resident outside the UK and unless otherwise agreed the price of the Goods shall be secured by an irrevocable letter of credit satisfactory to the Company established by the Purchaser in favour of the Company immediately upon receipt of the Company’s acceptance and confirmed by a United Kingdom bank acceptable to the Company. The letter of credit shall be for the Contract price inclusive of any tax or duty payable by the Purchaser and shall be valid for the period specified by the Company. The Company shall be entitled to payment on presentation to such UK bank of the documents specified by the Company.

6. DELIVERY
6.1. Delivery or performance dates mentioned in any quotation or acceptance form or elsewhere are approximate only and not of any contractual effect, and time for delivery shall not be made of the essence by notice. The Company shall not be under any liability to the Purchaser in respect of any delay in delivery howsoever arising.
6.2. In the event of the Purchaser returning or failing to accept any delivery of the Goods in accordance with the Contract the Company shall be entitled at its option to invoice the Purchaser for such Goods and either to deliver and invoice the Purchaser for the balance of Goods then remaining undelivered or to suspend or cancel further deliveries under the Contract. The Company shall be entitled to store at the risk of the Purchaser any Goods which the Purchaser refuses or fails to accept and the Purchaser shall in addition to the invoice price pay all costs of such storage and any additional costs or carriage incurred as a result of such refusal or failure. The Company shall be entitled after the expiration of 3 months from the date upon which the price became payable to dispose of the Goods in such manner as the Company may determine.
6.3. Unless otherwise specified delivery shall be “ex-works” so that the Goods shall be deemed to have been delivered and the risk therein to have passed to the Purchaser upon the Company notifying the Purchaser that the Goods are available for collection.
6.4. In any case where Goods are sold CIF or FOB or on the basis of any other international trade term the meaning of such terms contained in the latest Incoterms shall apply as if expressly incorporated herein except insofar as any part of the same may be inconsistent with any of the provisions contained in these Conditions.
6.5. In the case of any sale of Goods FOB the Company shall be under no obligation to give the Purchaser the notice specified in section 32(3) of the Sale of Goods Act 1979.
6.6. Unless otherwise expressly agreed the Company may effect delivery in one or more instalments. Where delivery is effected by instalments each instalment shall be treated as a separate contract.
6.7. If the Contract involves more than one delivery and any default is made in payment the Company shall have the right to suspend all or any further deliveries pending payment or to terminate the Contract in its entirety by notice in writing to the Purchaser.

7. EXPORT
The Purchaser represents and warrants that it will not violate U.S., E.U., or other applicable local country export-related laws with respect to the Goods.

8. TITLE
Title to the Goods shall pass to the Purchaser upon delivery.

9. VARIATIONS
The Company shall be deemed to have fulfilled its contractual obligations in respect of any delivery though the quantity may be up to ten per cent more or less than the quantity specified in the Contract and in such event the Purchaser shall pay for the actual quantity delivered.

10. SPECIFICATIONS BY THE PURCHASER
The Purchaser shall indemnify and keep indemnified the Company against all claims, costs, damages and expenses incurred by the Company or for which the Company may become liable as a direct or indirect result of the carrying out of any work required to be done on or to the Goods in accordance with the requirements of specifications of the Purchaser involving any infringement or claim or infringement of any intellectual property right vested in another person, firm or company.

11. LIABILITY
11.1. The Company shall not be liable for any visible defects or non-conformities and/or for any shortage in the quantity delivered unless a claim in writing shall have been received by the Company from the Purchaser within 7 days of delivery of the Goods. Where liability for any shortage is accepted by the Company, the Company’s only obligation shall be to make good such shortage.
11.2. The Company warrants that (subject to the other provisions of these Conditions), for a period of 12 months (or, in the case of software, 30 days) from delivery, the Goods will be free from material defects in material and workmanship and materially in accordance with the specifications provided by the manufacturer of the Goods.
11.3. The Company will perform the Services with reasonable skill and care.
11.4. The Company makes no warranty that software will operate uninterrupted or error-free.
11.5. The warranties in Condition 11.2 do not cover wear and tear and shall not apply to Goods which have been subjected to misuse or abuse, neglect, accident, damage, improper storage, improper installation or maintenance.
11.6 Subject to Conditions 11.4 and 11.5, if the Goods do not comply with the warranties in Condition 11.2 the Company shall at its option replace or repair such Goods free of charge or refund the price of such Goods provided that, if the Company so requests, the Purchaser shall, at the Purchaser’s expense, return the Goods or the part of such Goods which is defective to the Company. Any repaired or replacement Goods shall be guaranteed on these terms for the unexpired portion of the 12 month period.
11.7 Without prejudice to Condition 11.6, the Company’s maximum aggregate liability (including any liability for the acts or omissions of its employees, agents and sub-contractors) to the Purchaser whether for tort (including negligence or breach of statutory duty), breach of contract (including deliberate, repudiatory breach by the Company), indemnification, misrepresentation, restitution or otherwise shall in no circumstances exceed the greater of: (a) £100,000 in any 12 month period or (b) 100% of the cost of the relevant Goods which give rise to such liability as determined by the net price invoiced to the Purchaser.
11.8. The Company shall not be liable to the Purchaser for loss of profit, loss of business or depletion of goodwill in each case whether direct, indirect or consequential, or any claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with the Contract, whether such loss or claim was foreseeable or in the contemplation of the parties and whether arising in or caused by breach of contract, tort (including negligence and breach of statutory duty), indemnity or otherwise.
11.9. Subject to the foregoing all conditions, warranties, representations and other terms expressed or implied by statute, common law or otherwise (save for the conditions implied by section 12 of the Sale of Goods Act 1979 and section 2 of the Supply of Goods and Services Act 1982) are, to the fullest extent permitted by law, hereby excluded.
11.10. Nothing in this Condition 11 or otherwise in the Contract, excludes or limits the liability of the Company (a) for death or personal injury caused by the Company’s negligence; or (b) for any matter which it would be illegal for the Company to exclude or attempt to exclude its liability; or (c) for fraud or fraudulent misrepresentation.

12. LICENCES AND CONSENTS
12.1. The Contract is conditional upon the obtaining of all licences or consents necessary for its performance (other than for the importation of the Goods by the Purchaser) in which connection the Purchaser shall sign all such forms and documents and render such other assistance to the Company as may be necessary.
12.2. The Purchaser shall obtain at its own expense any licence or consent required for the importation of the Goods by the Purchaser and if necessary or so required, shall produce evidence of the same to the Company on demand.

13. PURCHASER-OWNED MATERIALS
Title and risk of loss to Purchaser-owned materials that are in the Company’s possession shall remain with the Purchaser. The Company shall not be liable for any loss or damage to Purchaser-owned materials stored by the Company unless caused solely by the Company’s negligence. Payment by the Company for such loss or damage shall be limited to the direct manufacturing cost of the Purchaser-owned materials (if it is manufactured by the Purchaser or its affiliates), or the replacement cost (if it was purchased from a third party), in either instance less the salvage value. The Purchaser shall be responsible for insuring its materials against all loss or damage not caused solely by the Company’s negligence. The Company assumes no liability for loss or damage to Purchaser-owned materials caused by any force majeure circumstance (as defined in Condition 14.2 below).

14. FORCE MAJEURE
14.1. The Company shall not be liable to the Purchaser for any loss or damage which may be suffered by the Purchaser as a direct or indirect result of the supply of the Goods or Services by the Company being prevented, hindered or delayed by reason of any force majeure circumstances.
14.2. In this Condition “force majeure circumstances” shall mean any act of God, riot, strike, lock-out, trade dispute or labour disturbances, accident, breakdown of plant or machinery, fire, flood, difficulty in obtaining workmen, material or transport or other circumstances whatsoever outside the control of the Company affecting the provision of the Goods or of raw materials therefor by the Company’s usual source of supply or the manufacture of the Goods by the Company’s normal means or the delivery of the Goods by the Company’s normal route or means of delivery.

15. TERMINATION 
If the Purchaser enters into a deed of arrangement or commits an act of bankruptcy or compounds with his creditors or if a receiving order is made against him or (being a company) it passes a resolution or the Court makes an order that the Purchaser be wound up (otherwise than for the purpose of amalgamation or reconstruction) or if a receiver, administrator or administrative receiver is appointed of any of the assets or undertaking of the Purchaser or if circumstances arise which entitle the Court or a creditor to appoint a receiver, manager or administrator or which entitle the Court to make a winding-up order or if the Purchaser takes or suffers any similar action in consequence of debt or commits any breach of any part of this or any other contract between the Company and the Purchaser the Company may stop any Goods in transit and suspend further deliveries and by notice in writing to the Purchaser may immediately terminate the Contract without prejudice to the provisions of Condition 5.3 and to existing claim.

16. WAIVER
The failure on the part of either party to the Contract to exercise or enforce any rights conferred by the Contract shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement thereof at any time or times  hereafter.

17. NOTICES
Any notice required to be given hereunder in writing shall be deemed to have been duly given if sent by prepaid first-class post or recorded delivery addressed to the party concerned at its principal place of business or last known address.

18. HEADINGS
Headings to any of these Conditions are included to facilitate reference only and shall not affect the construction hereof.

19. SEVERANCE
If any Condition of the Contract (or part of any Condition) is found by any court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, that Condition or part-Condition shall, to the extent required, be deemed not to form part of the Contract, and the validity and enforceability of the other Conditions shall not be affected.

20. GOVERNING LAW
The Contract shall be governed by and construed and interpreted in accordance with the laws of England and for the purposes of settlement of any disputes arising out of or in connection with the Contract the parties hereby submit themselves to the exclusive jurisdiction of the English Courts.

“The Company” means Optimas (Suzhou) Trading Co., Ltd. or the Optimas entity otherwise identified on the face of this document.

“The Purchaser” means the person, firm or company to be supplied with the goods and services by the Company.

5.5. In any case where the Purchaser is resident outside the People’s Republic of China (PRC) and unless otherwise agreed the price of the Goods shall be secured by an irrevocable letter of credit satisfactory to the Company established by the Purchaser in favour of the Company immediately upon receipt of the Company’s acceptance and confirmed by a bank acceptable to the Company. The letter of credit shall be for the Contract price inclusive of any tax or duty payable by the Purchaser and shall be valid for the period specified by the Company. The Company shall be entitled to payment on presentation to such bank of the documents specified by the Company.
如果买方是中国境外的公司,除另行约定外,货物的价格应以令公司满意的、不可撤销的信 用证作担保,信用证由买方在公司接受后立即以公司为受益人开立并由公司接受的银行保兑。信用证金额应为合同价格,包括买方应付的任何税款或关税,并在公司规定的期限内有效。公司有权在向上述银行出示公司规定的文据后获得付款。

6. DELIVERY 交付
6.1. Delivery or performance dates mentioned in any quotation or acceptance form or elsewhere are approximate only and shall not be binding on the Company. In the event, the Company shall have a grace period of 10 working days after the abovementioned dates to perform its obligations hereunder.
报价或确认单或别处所述的交付或履行日期仅为大概日期,对公司没有约束力。公司在上述 日期后有十个作工天的宽限期履行其在本条件下的义务。
6.2. In the event of the Purchaser returning or failing to accept any delivery of the Goods in accordance with the Contract the Company shall be entitled at its option to invoice the Purchaser for such Goods and either to deliver and invoice the Purchaser for the balance of Goods then remaining undelivered or to suspend or cancel further deliveries under the Contract. The Company shall be entitled after the expiration of 3 months from the date upon which the price became payable to
dispose of the Goods in such manner as the Company may determine.

6.3. Unless otherwise specified delivery shall be “ex-works” so that the Goods shall be deemed to have been delivered and the risk therein to have passed to the Purchaser upon the Company notifying the Purchaser that the Goods are available for collection.
除另行规定外,交付应为“工厂交货”。公司通知买方可收取货物时,货物应被视为已交付 给买方且其风险已转移给买方。
6.4. In any case where Goods are sold CIF or FOB or on the basis of any other international trade term the meaning of such terms contained in the latest Incoterms shall apply as if expressly incorporated herein except insofar as any part of the same may be inconsistent with any of the provisions contained in these Conditions.

6.5. Unless otherwise expressly agreed the Company may effect delivery in one or more instalments. Where delivery is effected by instalments each instalment shall be treated as a separate contract.

6.6. If the Contract involves more than one delivery and any default is made in payment the Company shall have the right to suspend all or any further deliveries pending payment or to terminate the Contract in its entirety by notice in writing to the Purchaser.
如果合同涉及一次以上的交付且存在任何不支付的情况,公司有权在付款前中止所有或任何 进一步的交付,或者以书面通知买方的方式终止整个合同。

7. EXPORT 出口
The Purchaser represents and warrants that it will not violate U.S., E.U., or other applicable local country export-related laws with respect to the Goods.

8. TITLE 所有权 
Title to the Goods shall pass to the Purchaser upon delivery.

9. VARIATIONS 偏差
The Company shall be deemed to have fulfilled its contractual obligations in respect of any delivery though the quantity may be up to ten per cent more or less than the quantity specified in the Contract and in such event the Purchaser shall pay for the actual quantity delivered.
即使数量可能超出或低于合同规定数量,但只要不超过或低于合同规定数量的百分之十,公 司仍应被视为已履行其关于任何交付的合同义务,在此情况下,买方应按实际交付数量付款。

10. SPECIFICATIONS BY THE PURCHASER 买方规格
The Purchaser shall indemnify and keep indemnified the Company against all claims, costs, damages and expenses incurred by the Company or for which the Company may become liable as a direct or indirect result of the carrying out of any work required to be done on or to the Goods in accordance with the requirements of specifications of the Purchaser involving any infringement or
claim or infringement of any intellectual property right vested in another person, firm or company.
直接或间接因根据买方规格要求对货物开展的任何工作而涉及任何侵权或索赔或侵犯属于其 他人、商行或公司的任何知识产权的,对于公司由此发生或可能承担的所有索赔、费用、损 害赔偿和支出,买方应向公司作出补偿并使其持续获得补偿。

11. LIABILITY 责任
11.1. The Company shall not be liable for any visible defects or non-conformities and/or for any shortage in the quantity delivered unless a claim in writing shall have been received by the Company from the Purchaser within 7 days of delivery of the Goods. Where liability for any shortage is accepted by the Company, the Company’s only obligation shall be to make good such shortage.
公司不对任何可见瑕疵或不符及/或交付数量的任何短缺负责,公司在货物交付后 7 日内收 到买方书面索赔的除外。如果公司接受对任何短缺负责,公司仅有的义务是弥补该等短缺。
11.2. The Company warrants that (subject to the other provisions of these Conditions), for a period of 12 months (or, in the case of software, 30 days) from delivery, the Goods will be free from material defects in material and workmanship and materially in accordance with the specifications provided by the manufacturer of the Goods.

11.3. The Company will perform the Services with reasonable skill and care.

11.4. The Company makes no warranty that software will operate uninterrupted or error-free.

11.5. The warranties in Condition 11.2 do not cover wear and tear and shall not apply to Goods which have been subjected to misuse or abuse, neglect, accident, damage, improper storage, improper installation or maintenance.

11.6 Subject to Conditions 11.4 and 11.5, if the Goods do not comply with the warranties in Condition 11.2 the Company shall at its option replace or repair such Goods free of charge or refund the price of such Goods provided that, if the Company so requests, the Purchaser shall, at the Purchaser’s expense, return the Goods or the part of such Goods which is defective to the Company. The Purchaser’s exclusive remedy for the Company’s breach of the warranties under Condition 11.2 will be the Company’s obligation to repair, replace or refund (in all cases at the Company’s option). Any repaired or replacement Goods shall be guaranteed on these terms for the unexpired portion of the 12 month period.

11.7 Without prejudice to the repair or provision of replacement Goods, the Company’s maximum aggregate liability (including any liability for the acts or omissions of its employees, agents and sub-contractors) to the Purchaser whether for tort (including negligence or breach of statutory duty), breach of contract (including deliberate, repudiatory breach by the Company), misrepresentation, restitution or otherwise shall in no circumstances exceed 100% of the cost of the relevant Goods or 100% of the cost of the relevant Services which give rise to such liability, as determined by the net price invoiced to the Purchaser.

11.8. The Company shall not be liable to the Purchaser for loss of profit, loss of business or depletion of goodwill in each case whether direct, indirect or consequential, or any claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with the Contract, whether such loss or claim was foreseeable or in the contemplation of the parties and whether arising in or caused by breach of contract, tort (including negligence and breach of statutory duty), indemnity or otherwise.

11.9. Subject to the foregoing the Company excludes all conditions, warranties and stipulations express, implied, statutory, customary otherwise to the fullest extent permitted by Chinese law.

11.10. Nothing in this Condition 11 or otherwise in the Contract, excludes or limits the liability of the Company for (a) death or personal injury caused by the Company’s negligence; or (b) property damage caused by intentional misconduct or gross negligence or (c) any matter which it would be illegal for the Company to exclude or attempt to exclude its liability.
本第 11 条的任何内容或合同的其他内容均不排除或限制公司对(a) 因公司过失造成的死亡 或人身伤害;或(b) 因故意不当行为或重大过失导致的财产损害;或(c) 公司排除或试图排 除其责任属于违法的任何事项的责任。

12. LICENCES AND CONSENTS 许可和同意
12.1. The Contract is conditional upon the obtaining of all licences or consents necessary for its performance (other than for the importation of the Goods by the Purchaser) in which connection the Purchaser shall sign all such forms and documents and render such other assistance to the Company as may be necessary.
合同以取得履行合同(而非买方进口货物)所需的所有许可或同意为条件,为此,买方应签 署所有必要的表格和文件并向公司提供其他必要的协助。
12.2. The Purchaser shall obtain at its own expense any licence or consent required for the importation of the Goods by the Purchaser and if necessary or so required, shall produce evidence of the same to the Company on demand.
买方应自费取得买方进口货物所需的任何许可或同意,如果必要或要求,应在要求时向公司 提供相关证据。

13. PURCHASER-OWNED MATERIALS 买方所有材料
Title and risk of loss to Purchaser-owned materials that are in the Company’s possession shall remain with the Purchaser. The Company shall not be liable for any loss or damage to Purchaser-owned materials stored by the Company unless caused solely by the Company’s negligence. Payment by the Company for such loss or damage shall be limited to the direct manufacturing cost of the Purchaser-owned materials (if it is manufactured by the Purchaser or its affiliates), or the replacement cost (if it was purchased from a third party), in either instance less the salvage value. The Purchaser shall be responsible for insuring its materials against all loss or damage not caused solely by the Company’s negligence. The Company assumes no liability for loss or damage to Purchaser-owned materials caused by any force majeure circumstance (as defined in Condition 14.2 below).

14. FORCE MAJEURE 不可抗力
14.1. The Company shall not be liable to the Purchaser for any loss or damage which may be suffered by the Purchaser as a direct or indirect result of the supply of the Goods or Services by the Company being prevented, hindered or delayed by reason of any force majeure circumstances.
公司不就买方直接或间接因公司提供货物或服务由于任何不可抗力情况而受到阻止、妨碍或 延迟而可能遭受的任何损失或损害对买方承担责任。
14.2. In this Condition “force majeure circumstances” shall mean any act of God, riot, strike, lock-out, trade dispute or labour disturbances, accident, breakdown of plant or machinery, fire, flood, difficulty in obtaining workmen, material or transport or other circumstances whatsoever outside the control of the Company affecting the provision of the Goods or of raw materials therefor by
the Company’s usual source of supply or the manufacture of the Goods by the Company’s normal means or the delivery of the Goods by the Company’s normal route or means of delivery.

15. TERMINATION 终止
If the Purchaser enters into a deed of arrangement or commits an act of bankruptcy or compounds with his creditors or if a receiving order is made against him or (being a company) it passes a resolution or the Court makes an order that the Purchaser be wound up (otherwise than for the purpose of amalgamation or reconstruction) or if a receiver, administrator or administrative receiver is appointed of any of the assets or undertaking of the Purchaser or if circumstances arise which entitle the Court or a creditor to
appoint a receiver, manager or administrator or which entitle the Court to make a winding-up order or if the Purchaser takes or suffers any similar action in consequence of debt or commits any breach of any part of this or any other contract between the Company and the Purchaser the Company may stop any Goods in transit and suspend further deliveries and by notice in writing to the
Purchaser may immediately terminate the Contract without prejudice to the provisions of Condition 5.3 and to existing claim.

16. WAIVER 放弃
The failure on the part of either party to the Contract to exercise or enforce any rights conferred by the Contract shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement thereof at any time
or times thereafter.
合同的任何一方未行使或执行合同授予的任何权利不视为放弃任何该等权利,亦不构成排除 在之后的任何时间行使或执行该等权利。

17. NOTICES 通知
Any notice required to be given hereunder in writing shall be deemed to have been duly given if sent by courier or recorded delivery addressed to the party concerned at its principal place of business or last known address.
本条件下要求书面作出的任何通知如以挂号信件或快递发送至相关方的主营业地或最后所知 的地址,则视为已正式发送。

18. HEADINGS 标题
Headings to any of these Conditions are included to facilitate reference only and shall not affect the construction hereof.
本条件的任何条款的标题仅为便于参考,不影响本条件的解释。

19. SEVERANCE 分割
If any Condition of the Contract (or part of any Condition) is found by any court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, that Condition or part-Condition shall, to the extent required, be deemed not to form part of the Contract, and the validity and enforceability of the other Conditions shall not be affected.

The Contract shall be governed by and construed and interpreted in accordance with the laws of the People’s Republic of China and for the purposes of settlement of any disputes arising out of or in connection with the Contract the parties hereby submit themselves to the exclusive jurisdiction of the Courts of Shanghai.
合同受中华人民共和国法律管辖并据其解释,为解决因合同引起或与合同有关的任何争议,双方在此同意受上海的法院专属管辖。

21. TYPE OF SALES TRANSACTION 销售交易类型
These General Conditions of Sale do not apply to electronic nor internet transactions. The web-sites used by the Purchaser to enter such electronic orders contain their own specific general terms & conditions.

22. LANGUAGE 语言
These Conditions have been prepared in both Chinese and English. In case of any discrepancy, the Chinese version will prevail.

1. DEFINITIONS
“The Company” means Optimas OE Solutions India Private Limited or the Optimas entity otherwise identified on the face of this document. “The Purchaser” means the person, firm or company to be supplied with the goods and services by the Company.
“Goods” means the goods, materials and/or other items and any Services to be supplied pursuant to the Contract.
“Services” means the services to be supplied pursuant to the Contract. “The Contract” means the contract for sale and purchase of the Goods and supply of the Services made between the Company and the Purchaser to which these Conditions apply.

2. SCOPE
These Conditions apply to all sales of Goods and supplies of Services by the Company and shall prevail over any terms or conditions referred to in the Purchaser’s order or in correspondence or elsewhere unless specifically agreed to in writing by the Company and expressed to form part of the Contract and any conditions or stipulations to the contrary are hereby excluded or extinguished.

3. QUOTATION
A quotation by the Company does not constitute an offer and the Company reserves the right to withdraw or amend the same at any time prior to the Company’s acceptance of the Purchaser’s order.

4. PRICES
4.1. Unless the prices quoted are stated to be fixed the prices payable for the Goods or Services shall be those charged by the Company at the time of despatch or supply of the Services so that the Company shall have the right at any time to revise quoted prices to take account of increases in cost including (without limitation) costs of raw materials or labour and any variation in exchange rates.
4.2. Quoted prices for the Goods are “ex-works” and exclusive of Value Added Tax and other duty levy or tax assessed against the Goods or Services by any Government or other authority.

5. TERMS OF PAYMENT
5.1. Subject to Condition 5.5 below payment of invoices shall, unless otherwise agreed in writing, be made in full without any deduction or set off within 30 days of the date of invoice.
5.2. Any extension of credit allowed to the Purchaser may be changed or withdrawn at any time.
5.3. The Company may claim interest upon late payments in accordance with the law and further recover from the Purchaser all reasonable costs incurred in recovering late payments.
5.4. If in the opinion of the Company the creditworthiness of the Purchaser shall have deteriorated prior to the delivery the Company may require full or partial payment of the price prior to delivery or the provision of security for payment by the Purchaser in a form acceptable to the Company.
5.5. In any case where the Purchaser is resident outside the UK and unless otherwise agreed the price of the Goods shall be secured by an irrevocable letter of credit satisfactory to the Company established by the Purchaser in favour of the Company immediately upon receipt of the Company’s acceptance and confirmed by a United Kingdom bank acceptable to the Company. The letter of credit shall be for the Contract price inclusive of any tax or duty payable by the Purchaser and shall be valid for the period specified by the Company. The Company shall be entitled to payment on presentation to such UK bank of the documents specified by the Company.

6. DELIVERY
6.1. Delivery or performance dates mentioned in any quotation or acceptance form or elsewhere are approximate only and not of any contractual effect, and time for delivery shall not be made of the essence by notice. The Company shall not be under any liability to the Purchaser in respect of any delay in delivery howsoever arising.
6.2. In the event of the Purchaser returning or failing to accept any delivery of the Goods in accordance with the Contract the Company shall be entitled at its option to invoice the Purchaser for such Goods and either to deliver and invoice the Purchaser for the balance of Goods then remaining undelivered or to suspend or cancel further deliveries under the Contract. The Company shall be entitled to store at the risk of the Purchaser any Goods which the Purchaser refuses or fails to accept and the Purchaser shall in addition to the invoice price pay all costs of such storage and any additional costs or carriage incurred as a result of such refusal or failure. The Company shall be entitled after the expiration of 3 months from the date upon which the price became payable to dispose of the Goods in such manner as the Company may determine.

11.6 Subject to Conditions 11.4 and 11.5, if the Goods do not comply with the warranties in Condition 11.2 the Company shall at its option replace or repair such Goods free of charge or refund the price of such Goods provided that, if the Company so requests, the Purchaser shall, at the Purchaser’s expense, return the Goods or the part of such Goods which is defective to the Company. Any repaired or replacement Goods shall be guaranteed on these terms for the unexpired portion of the 12 month period.
11.7 Without prejudice to Condition 11.6, the Company’s maximum aggregate liability (including any liability for the acts or omissions of its employees, agents and sub-contractors) to the Purchaser whether for tort (including negligence or breach of statutory duty), breach of contract (including deliberate, repudiatory breach by the Company), indemnification, misrepresentation, restitution or otherwise shall in no circumstances exceed the greater of: (a) £100,000 in any 12 month period or (b) 100% of the cost of the relevant Goods which give rise to such liability as determined by the net price invoiced to the Purchaser.
11.8. The Company shall not be liable to the Purchaser for loss of profit, loss of business or depletion of goodwill in each case whether direct, indirect or consequential, or any claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with the Contract, whether such loss or claim was foreseeable or in the contemplation of the parties and whether arising in or caused by breach of contract, tort (including negligence and breach of statutory duty), indemnity or otherwise.
11.9. Subject to the foregoing all conditions, warranties, representations and other terms expressed or implied by statute, common law or otherwise are, to the fullest extent permitted by law, hereby excluded.
11.10. Nothing in this Condition 11 or otherwise in the Contract, excludes or limits the liability of the Company (a) for death or personal injury caused by the Company’s negligence; or (b) for any matter which it would be illegal for the Company to exclude or attempt to exclude its liability; or (c) for fraud or fraudulent misrepresentation.

damage not caused solely by the Company’s negligence. The Company assumes no liability for loss or damage to Purchaser-owned materials caused by any force majeure circumstance (as defined in Condition 14.2 below).

14. FORCE MAJEURE
14.1. The Company shall not be liable to the Purchaser for any loss or damage which may be suffered by the Purchaser as a direct or indirect result of the supply of the Goods or Services by the Company being prevented, hindered or delayed by reason of any force majeure circumstances.
14.2. In this Condition “force majeure circumstances” shall mean any act of God, riot, strike, lock-out, trade dispute or labour disturbances, accident, breakdown of plant or machinery, fire, flood, difficulty in obtaining workmen, material or transport or other circumstances whatsoever outside the control of the Company affecting the provision of the Goods or of raw materials therefor by the Company’s usual source of supply or the manufacture of the Goods by the Company’s normal means or the delivery of the Goods by the Company’s normal route or means of delivery.

15. TERMINATION
If the Purchaser enters into a deed of arrangement or commits an act of bankruptcy or compounds with his creditors or if a receiving order is made against him or (being a company) it passes a resolution or the Court makes an order that the Purchaser be wound up (otherwise than for the purpose of amalgamation or reconstruction) or if a receiver, administrator or administrative receiver is appointed of any of the assets or undertaking of the Purchaser or if circumstances arise which entitle the Court or a creditor to appoint a receiver, manager or administrator or which entitle the Court to make a winding-up order or if the Purchaser takes or suffers any similar action in consequence of debt or commits any breach of any part of this or any other contract between the Company and the Purchaser the Company may stop any Goods in transit and suspend further deliveries and by notice in writing to the Purchaser may immediately terminate the Contract without prejudice to the provisions of Condition 5.3 and to existing claim.

16. WAIVER
The failure on the part of either party to the Contract to exercise or enforce any rights conferred by the Contract shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement thereof at any time or times thereafter.

17. NOTICES
Any notice required to be given hereunder in writing shall be deemed to have been duly given if sent by prepaid first-class post or recorded delivery addressed to the party concerned at its principal place of business or last known address.#

18. HEADINGS
Headings to any of these Conditions are included to facilitate reference only and shall not affect the construction hereof.

19. SEVERANCE
If any Condition of the Contract (or part of any Condition) is found by any court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, that Condition or part-Condition shall, to the extent required, be deemed not to form part of the Contract, and the validity and enforceability of the other Conditions shall not be affected.

20. GOVERNING LAW
The Contract shall be governed by and construed and interpreted in accordance with the laws of India and any dispute arising out of or in connection with this Contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the LCIA India Arbitration Rules. The number of arbitrators shall be three. The seat of arbitration shall be Delhi. The language to be used in the arbitration shall be English.

「当社」とは、Optimas OE Solutions (Japan) Gk を意味する。「購入者」とは、当社が商品およびサービスを提供する人物、事務所または会社を意味する。 「商品」とは、本契約に従って提供される商品、材料、および/またはその他の商品およびサービス
を意味する。 「サービス」とは、本契約に従って提供されるサービスを意味する。 「本契約」とは、これらの条件が適用される当社と購入者の間で交わされた商品の販売と購入およ びサービスの提供に関する契約を意味する。

2. 適用範囲
本条件は、当社が書面により特別に合意していない限り、また本契約の一部を構成するという明示 的な表現がない限り、当社によるすべての商品の販売およびサービスの供給に適用され、購入者の 注文または通信あるいはその他に記載されている諸条件に優先するものとし、これに反するすべて の条件または規定は本契約により除外または末梢される。

3. 見積り
当社による見積りは申し出を構成するものではなく、当社は購入者の注文を当社が受け入れる前の いかなる時点でも、これを撤回または修正する権利を留保する。

4. 価格
4.1. 見積り価格が固定価格であるとの記述がない限り、商品またはサービスに対する支払価格は、 発送時点またはサービスの提供の時点において当社が請求する価格であり、それにより、当社は原 材料費、労賃、および為替レートの変動を含む(これらに限定されない)費用の増大を考慮して見 積り価格をいかなる時点でも修正する権利を留保するものとする。
4.2.商品の見積り価格は「工場渡し」のものであり、政府またはその他の当局により商品またはサー ビスに課される付加価値税およびその他の関税または税を除外したものである。

5.支払条件
5.1. 以下の条件 5.5 に従い、請求書の支払いは、別途書面による合意がない限り、一切の控除また は相殺を行うことなく、請求日から 30 日以内に行われるものとする。
5.2. 購入者に許可される信用期限延長は、いかなる時点でも変更または中止される場合がある。
5.3. 当社は、法律に従い、支払遅滞に対する利息を請求することができ、さらに支払遅滞の回復に おいて生じるすべての妥当な費用を購入者から回収することができる。
5.4. 当社が、その裁量において、購入者の信用力が納入前に悪化する可能性があると判断した場合、 当社は、納入前に価格の支払の全部または一部を要求するか、当社が承諾できる形で購入者による 支払の担保の提供を要求することができる。
5.5. 購入者が日本国外に居住する場合、別途合意がない限り、商品の価格は、当社の承諾を受け取っ た時点で直ちに当社が満足できる、当社に有利な形で購入者が設定した取消不能な信用状により確 約され、かつ当社が承諾できる日本の銀行により確認されるものとする。信用状は購入者が支払う べき税金または関税を含む契約価格とし、当社が定めた期間において有効となる。当社は、日本の 銀行に対し、当社が定めた書類提示払いを行う権利を有するものとする。

6. 納入
6.1. 見積りまたは承諾書またはその他に記載された納入日または履行日は推定のみであり、契約上 の効力を持たず、納期は通知により必須とならないものとする。当社は、いかなる納入の遅滞に関 しても、購入者に対する賠償責任を負わないものとする。
6.2. 購入者が本契約に従って納入された商品を返却する場合、または受け取らない場合、当社はそ の裁量にて、購入者に対してかかる商品の請求を行い、その時点での未納入の商品の残高を購入者 に請求するか、本契約の下でのその後の納入を停止または取り消す権利を有するものとする。当社 は、購入者が拒否または受け取らなかった商品を購入者のリスク負担で保管する権利を有するもの とし、購入者は請求価格の支払の他、かかる保管費および追加費用、またはかかる拒否または不履 行の結果として生じる運送費のすべてを支払うものとする。当社は、価格の支払い義務が発生する 日付から 3 ヶ月の期限満了後、当社が決定する方法で商品を処分する権利を有するものとする。
6.3. 特に別途の定めがない限り、納入は「工場渡し」とし、当社が購入者に商品が回収可能である ことを通知した時点で、商品は納入されたものとみなされ、商品におけるリスクは購入者に引き渡 されるものとする。
6.4. 商品がその他の国際貿易条件を基に販売される場合、最新のインコタームズに記載されるかか る条件の意味が、本条件に記載される条項と矛盾しない限りにおいて、これらのすべての部分が本 契約書に明示的に組み込まれているものとして適用されるものとする。
6.5..
6.6. 明示的に別途合意されていない限り、当社は一回または複数回での分割納入を実施できる。納 入が複数回に分けて実施される場合、各分割納入は別の契約として取り扱われるものとする。
6.7. 本契約に複数回に及ぶ納入が含まれ、支払いの不履行がある場合、当社は、書面で購入者に通 知することにより、支払が完了するまで、残りの全部または一部の納入を停止する権利、または本 契約全体を終了する権利を有するものとする。

7. 輸出
購入者は、商品に関して米国、欧州連合またはその他の適用される現地国の輸出関連法に違反して いないことを表明し、保証する。

8. 所有権
商品の所有権は納入の時点で購入者に引き渡されるものとする。

9. 変動
当社は、本契約で定められた数量の最高約 10%の増減の納入に関しては契約上の義務を果たしたと みなされるものとし、かかる場合には購入者は実際に納入された数量に対する支払を行うものとす る。

10. 購入者による仕様
購入者は、侵害または請求、または別の人物、事務所または会社に属する知的所有権侵害が関与す る購入者の仕様の要件に従って当社が負担したすべての賠償請求、費用、損害、経費に対して、ま た商品に関してまたは対して履行する必要のある業務を遂行したことによる直接または間接の結果 として当社が賠償責任を負う可能性のあるすべての賠償請求、費用、損害、経費に対し、当社を補 償し、また今後も補償するものとする。

11. 賠償責任
11.1. 当社は、商品の納入から 7 日以内に購入者からの書面による賠償請求を受け取らない限り、 可視欠陥または不適合および/または納入数量不足に対する賠償責任を負わないものとする。不足に 対する賠償責任が当社により承諾された場合、当社の唯一の義務は、かかる不足を補填することで ある。
11.2. 当社は、納入より 12 ヶ月間(またはソフトウェアの場合には 30 日間)、(本条件の他の条 項に従い)商品の材料およびに施工に重大な欠陥がなく、商品の製造業者が提供する仕様に実質的 に従っていることを保証する。
11.3. 当社は、妥当な技能と配慮をもってサービスを履行する。
11.4. 当社は、ソフトウェアが中断されず、またはエラーなしに動作するという保証は行わない。
11.5. 条件 11.2 の下での保証は摩耗を対象としておらず、また誤用または乱用、過失、事故、損害、 不適切な保管、不適切な取付または保守の対象となった商品には適用されないものとする。
11.6.条件 11.4 および 11.5 に従い、商品が条件 11.2 の下での保証に適合しない場合、当社は、その 裁量にてかかる商品を無償で交換または修理するか、またはかかる商品の価格を払い戻すものとす る。ただし、当社がかかる要請を行う場合、購入者が、購入者の費用負担にて、商品またはかかる 欠陥商品の部品を当社に返却することを条件とする。修理または交換される商品は、12 ヶ月の残り
の期間について、本条件の下で保証されるものとする。
11.7 条件 11.6 に影響を及ぼすことなく、購入者に対する当社の累積責任は、それが不法行為(過 失または法定義務違反を含む)、契約違反(当社による故意の、履行意思のないことを示す違反を 含む)、補償、虚偽表示、賠償、またはその他であるかどうかに関わらず、いかなる場合にも以下 の金額を超えないものとする:
(a) 任意の 12 ヶ月間で 10,000,000 円、または
(b) 購入者に対して請求される正味価格によって決定される、かかる賠償責任を発生させた関連す る商品の費用の 100%。
11.8. 当社は、各件における利益の喪失、ビジネスの喪失または営業権の減耗に対し、直接、間接 または派生的かどうかを問わず、または本契約に起因または関連する派生的な補償請求に関わらず (原因に関わらず)、かかる喪失または請求が予測可能であったかまたは両当事者の予想の範囲内 にあったかを問わず、また契約違反、違法行為、免責またはその他により生じるまたは起因するか を問わず、購入者に対する賠償責任は負わないものとする。
11.9. 前述の規定に従い、制定法、慣習法、その他により明示的または黙示的に規定されるすべて の条件、保証、表明およびその他の条件は、法律により許可される最大の範囲において、本約書に より除外される。
11.10. 本条件 11 または本契約のその他のいかなる部分も、(a) 当社の過失により引き起こされた死 亡または身体傷害、または (b) その賠償責任を当社が除外する、または除外を試みることが違法と なる事項、または (c) 詐欺または詐欺的な虚偽表示に対し、当社による賠償責任を除外または制限 するものではない。

12. ライセンスと同意
12.1. 本契約は、その履行のために必要とされるすべてのライセンスまたは同意を取得することを 条件とし(購入者による商品の輸入を除く)、それとの関係において、購入者はすべてのかかる様 式および文書に署名し、必要に応じ当社にかかるその他の支援を提供するものとする。
12.2. 購入者は、購入者による商品の輸入に必要なライセンスまたは同意を自らの負担で取得する ものとし、必要な場合またはそれが義務付けられる場合には、要求に応じ、当社にその証拠を提示 するものとする。

13. 購入者が所有する材料
当社が所有する、購入者が所有する材料の権原および損失リスクは、購入者に帰属するものとする。 当社は、当社の過失によってのみ引き起こされたものでない限り、当社が保管する購入者所有の材 料に対する損失または損害に対する賠償責任は負わないものとする。かかる損失または損害に対す る当社による支払いは、購入者が所有する材料の直接の製造費(それが購入者または関連会社によ り製造された場合)、または交換費用(それが第三者から購入された場合)に限定されるものとし、 いずれの場合も救済価額を差し引いた額とする。購入者は、当社の過失によってのみ発生したもの を除くすべての損失または損害に対し、その材料に保険をかける責任を負うものとする。当社は、 不可抗力の状況により発生した、購入者の所有する材料に対する損失または損害に対する賠償責任
は負わないものとする(以下の条件 14.2 に定義される通り)。

14. 不可抗力
14.1. 当社は、不可抗力の状況を理由に当社による商品またはサービスの提供が阻止され、妨害さ れ、遅滞したことの直接または間接の結果として購入者が被る可能性のある損失または損害に関し、 購入者に対する賠償責任は一切負わないものとする。
14.2. 本条件では、「不可抗力の状況」とは、当社の通常の商品の供給源または製造源において、 あるいは当社の商品の通常の手段または納入において、または通常のルートまたは納入手段におい て、天災、暴動、ストライキ、工場閉鎖、貿易摩擦、または労働紛争、事故、工場または機械類の 故障、火事、洪水が生じること、および作業員、材料または輸送の確保において困難が生じること、 または当社の支配が及ばないその他の状況で、その結果として商品または原材料の提供に影響が生 じる状況を指す。

15. 契約終了
購入者が債務整理証書を締結した場合、破産手続きを行った場合、債権者と和議に及んだ場合、あ るいは購入者に対して財産管理命令が発令された場合、または(会社として)決議案を可決した場 合、または裁判所が購入者に解散命令を発令した場合(吸収合併または再建目的以外で)、購入者 の資産または事業の管財人、更生管財人または財産保全管理人が指名された場合、または裁判所ま たは債権者に管財人、管理人または更生管財人を使命する権利を与えるような状況が発生した場合、 または裁判所に清算命令を発令する権利を与えるような状況が発生した場合、または購入者が負債 の結果として同様の措置を取るまたは受ける場合、または当社と購入者間の本契約またはその他の 契約の部分に違反した場合には、当社は移送中の商品を停止し、その後の納入を中止することがで き、条件 5.3 の条項および既存の賠償請求に影響を及ぼすことなく、購入者に書面で通知すること により、直ちに本契約を終了することができる。

16. 権利放棄
本契約のいずれかの当事者が、本契約により与えられる権利の行使または強制を行わなかった場合 でも、かかる権利の放棄とはみなされず、またはその後のいかなる時点においても、これらの権利 の行使または強制の阻止とはみなされないものとする。

17. 通知
本契約書の下で書面で提出される必要のある通知は、当該の当事者の主な営業所または最後に判明 している最後の住所宛てに、前払い第 1 種郵便物または書留郵便により送付された場合、正式に提 出されたものとみなされるものとする。

18. 見出し
本条件の見出しは参考のためのみに記載されており、本契約の解釈には影響を与えないものとする。

19. 可分性
本契約のいずれかの条項(または条項の一部)が、裁判所またはその他の有効な管轄権を持つ当局 により無効、違法、または執行不能であるとされた場合、当該の条件または一部の条件は、要求さ れる範囲において、本契約の一部を構成するとはみなされず、その他の条件の有効性と執行可能性 には影響しないものとする。

20. 準拠法
本契約は、抵触法に関する部分を除き、日本の法律に準拠するものとし、国際物品売買契約に関す る国際連合条約は適用されず、本契約に起因するまたは関連する紛争の解決を目的として、両当事 者はここに東京地方裁判所の排他的管轄権に服するものとする。
